Supplier-Reseller Agreement for Ukay Bales

This contract is between a supplier and reseller. The supplier will provide bales of used clothes (Ukay bales) to the reseller whenever available. CONTRACT OF AGREEMENT

This contract has been entered into by and between:


CHRISTLE M. DIMAANO, Filipino, of legal age, and a resident of Batangas City,
hereinafter referred to as “ SUPPLIER”.
____________________________, Filipino, of legal age, and a resident of
____________________ hereinafter referred to as “RESELLER”.

In witnesses, the Supplier and Reseller has agreed upon the following terms and
conditions to wit:
WHEREAS, the Supplier will supply the bales (Ukay bales) to the reseller whenever
available.
WHEREAS, the Reseller has the responsibility to wit:
1. To make sure that he/she will pay on the agreed terms.
2. Failure of the third party to pay the reseller, the latter shall shoulder the total
amount of the bales lent to the third party.
3. The act of non-payment of the reseller to the supplier on time would equate to
interest and penalty which is reasonable within the bounds of the law.
4. Failure of the reseller to remit all payments on time will give the supplier an
opportunity to exercise her legal rights and the expenses of the same shall be
shouldered by the RESELLER.
WHEREAS, if the bale(/s) have not been lent to a third party, and the same has been
used by the reseller for his/her personal interest, for live selling or business purposes,
the latter is obliged to pay the whole amount agreed upon when the due date arrive and
failure to do so, a penalty will be incurred which is fifty pesos per day or more until the
principal amount+ penalty has been paid in full.
This contract shall be binding upon the parties, their successors, heirs and assigns, and
shall be enforced under Philippine laws.
