MEMORANDUM OF AGREEMENT
[Player Agreement]
This Memorandum of Agreement (the “Agreement”) is entered into on this _____ day of
_________________ 2021 in _________________, Philippines by and between:
DIGITAL DEVILS represented by __________________________, Filipino, of
legal age, with address at _____________________________________________,
hereinafter referred to as the “Management”;
-and-
___________________________________, Filipino, of legal age, with address at
_________________________________________________________________, hereinafter
referred to as the “Player”.
I. TERMS AND CONDITIONS
A. The Management hereby engages the Player to render services as a professional WILDRIFT
player of a competitive esports team known as [team name].
1. The Player shall perform services which are necessary and customarily performed by
competitive gamers within the esports industry such as, but not limited to:
a. Regular practice;
b. Joining competitions;
c. Other related activities which may be assigned by the Management from time to
time.
2. The Management has the sole discretion in selecting which competitions the Player will
participate in.
3. The Player agrees to perform to the best of his ability in all competitions.
II. DURATION OF THE AGREEMENT, TERMINATION, AND RENEWAL
A. This Agreement shall be valid for a period of three (3) months and may be renewed
thereafter by mutual agreement of both parties.
B. If the Player decides to leave or terminate the Agreement before the end of the three-month
period, he shall be liable to pay the management fees for his first release.
III. OBLIGATIONS OF THE PARTIES
A. The Player shall have the following obligations:
1. The Player shall conscientiously perform to the best of his ability in every match and
competition.
2. The Player shall not exhibit unsportsmanlike behavior such as throwing or sabotaging
matches, cheating, and the like. Otherwise, the Management shall have the right to
indefinitely suspend or terminate this Agreement immediately.
3. The Player shall not join any other team during the effectivity of this Agreement.
4. The Player agrees to change his in-game name to conform to the Management’s
requirements.
B. The Management shall have the following obligations:
1. The Management shall have the duty to withhold the benefits of the Player if the latter is
found to have violated any of the terms of this Agreement.
2. The Management shall ensure that the Player is given sufficient opportunity for growth
and improvement as a professional esports player.

3. The Management shall be responsible for selecting the competitions in which the Player
and his team will participate.
IV. PAY-OUTS AND DIVISION OF TOURNAMENT WINNINGS
A. The division of tournament winnings will be among the Management, the Investor, and the
Players. The details of the division are as follows:
Management Fee 20%
This portion will go to the Management as fee
for managing the team
Operational Fees 30%
This portion will go to the Investor as a
return for their sponsorship
Players Fees 50%
This portion will go to the Player as
compensation under this Agreement. This
may be in cash or in-kind.
Incentive 10%
This portion will go to the Players who
consistently perform well. This may be in the
form of cash or in-game items.
TOTAL 100%
B. Payment will be made through Bank Deposit or Cash Deposit.
C. Payments will be given within ten (10) business days.
D. No changes to the above provisions shall be recognized unless made in writing or email
and agreed upon by both parties.
V. MISCELLANEOUS PROVISIONS
A. The invalidity or unenforceability of one or more provisions of this Agreement shall not
affect the effectivity of the other provisions which are deemed valid.
B. The parties acknowledge that this Agreement is subject to the laws and regulations of
the Republic of the Philippines.
C. The parties acknowledge that this Agreement contains the entire agreement of the
parties and that no term or condition otherwise agreed upon by the parties after
execution of this Agreement shall modify or change the same unless made in writing
and signed by both parties. All prior agreements made which are inconsistent hereto
shall be deemed superseded.
IN WITNESS WHEREOF, the parties have hereunto affixed their signatures on the date and
at the place abovementioned.
