Signify submits this offer with all defined delivery
timelines for the products only subject to the
availability of components and raw materials for the
offered items products and hereby expressly excludes
any liability for delays or failures in the delivery of the
products that may be caused by lack or shortage of

All Contractual Terms and Conditions not mentioned in
this document are as per attached Signify General
Terms and Conditions. This proposal will be updated
Other Terms and once further details are received about project
Conditions implementation details, and final design approval.
Parts or complete scope of works included in this
document may be carried out via Signify Distributors or
Value-Added Partners.
Taxes VAT and other applicable sales taxes are excluded

Inclusions:
1. Supply, Testing & Commissioning as per Philips Proposal and its scope duly approved by client.
2. Above stated BOQ is prepared based on the BOQ form the customer.
3. Philips Project Manager and System Engineers will participate a Kick of meeting at site to give technical
advisory on the installation instructions of the scope of supply.
4. Philips to provide the comments on the shop drawings. Shop drawings are out of Philips Engineering works
5. Hand on training on site will be provided before installation along with all technical documents.
6. Activities related to aforementioned Scope of Work but excluding the details mentioned in Exclusions Section
and also those which are not covered.
7. Once Philips received approved shop drawing then Philips system engineer to provide List of leader and
jumper cables required along with detailed single line diagram.
8. Customer needs to provide suitable feeders with sufficient power.
9. Based on the given information will assume that the power data supply will be Surface Mount Configuration
10. It’s assumed that façade surface would be suitable for luminaire installation. In case of change of installation
locations due to the fact that façade does not allow installation as per the lighting design, change in the layout
may affect BOQ and overall effect depending on the actual luminaire locations. Hence, we would recommend
to set up a mock up installation before ordering supplies and installation
11. Necessary access shall be provided for the locations where control units are installed. During both site
supervision and aiming of luminaires, the necessary hoisting equipment shall be provided by contractor.
12. It is assumed that the customer has no issues in making holes as per requirements. Weather Proof PVC/EMT
junction box should be provided by Contractor in order to loop two fixtures
13. The communication protocol used is DMX over Ethernet.
14. Location of the Power Data Supplies are not defined at the moment. Hence the lengths considered for the
leader cables are assumed ones and this can be optimized upon finalizing the location of the devices and
routing of leader cables.
15. It is assumed that contractor would provide minimum 2 qualified skilled labors with tools, safety equipment,
ladder /crane / motorized bucket etc. at site is in the scope of Client / Contractor. Philips Engineers will provide
Supervisory / Advisory Services to Client / Contractor's during aiming of LED luminaires.
16. It is assumed that Contractor will provide mains power to Luminaires units. Cables will be pulled and
terminated by contractor. Philips only provides leader and jumper cables as per BOQ. Any component required
for the functionality of the system and not provided in Philips BOQ shall be supplied, terminated and installed
by customer.
17. All luminaires are energized from Permanent Feeder Pillar and site does not face any power interruption so
that all light points have the power during the entire testing and commission

Exclusions:
1. Any approvals / permits / NOC from Government Agencies / Electricity Distribution
Company /Civil Defense / Labor Departments/ Customs / Tax Authority etc. is
beyond Philips scope and client to align and arrange well in advance before
execution of project.
2. Sole responsibility of entire system’s (Civil, Mechanical, and Electrical) conformance
to international and local standards / norms lies with the client, their appointed
consultant and contractor.
3. Reliable mains power, earthling, cabling, surge protection, lightning protection and
connections conforming and meeting requirements of the fixtures will be provided
by the client.
4. Permissions / approval from local authorities is beyond Philips scope and in no case
could affect commercial aspects of Philips offer before, during and after completion
of relevant scope of work / supplies by Philips.
5. Checking / Vetting and approval of proposed Lighting System, Electrical System,
Controls System for LED Luminaires conforming to international and local standards
/regulations from a licensed qualified consultant. Approval for the modification and
incorporation of new electrical system to be arranged by client.
6. Supply, laying, termination, installation of Power cables, Copper (Cat5/6) OR Fiber
cables
7. Third Party inspection fees, attendance upon request
8. Installation or replacement of electrical components/equipment necessary to
energize and control the luminaires. (i.e. contactors, MCBs MCCBs, etc)
9. Products will be supplied with standard brackets. If any special installation bracket is
needed in order to eliminate drilling holes, etc such customization will have a cost
impact.
10. Provision of Grid Supply and Standby Power Systems are beyond scope of Philips.
11. Contractor to ensure clean, stable and required electrical supply from grid and free
from spikes, transient voltages.
12. Arrangement of Hoisting Equipment by providing proper and safe crane / cherry
picker / façade access platform / façade access baskets / scaffolding .
13. Storage area & functional site office, office furniture, internet and phone services
14. Any structural reinforcement / repairing / repainting outer mounting ring or other
Mechanical or Civil structure is excluded
15. Dismantling, Removal and Disposal of existing lighting system equipment
(Applicable for existing sites)
16. Any kind of installation and termination are not included
17. Required site access, storage and all other electrical, false ceiling & civil supports etc.
need to be provided by client / contractor
18. Only Philips will supply above stated BOQs any other Material required for
installation and energizing the Light Fixtures not in Philips Scope and to be arranged
and installed in such a manner meeting International and Local Standards /
Regulations
19. Manpower for installation and termination are not included
20. Any Electrical Breakers / ELCBs / DBs, Racks, Cabinets etc. are not considered
21. Supply, Installation, testing and commissioning of IT components (Both active and
passive).
22. Integration with other systems are excluded.
23. Enclosures / Racks for Lighting controller or NW switches
1.1 IMPORTANT NOTE:
The coronavirus (COVID-19) has spread to many countries around the world and the World Health Organization
(WHO) has declared the virus a global pandemic. The delivery and project timelines table set out in our
quotation / Proposal are indicative only and may be delayed due to the Covid-19 situation. For example, the
manufacturing process, the supply of components by Signify’s suppliers or subcontractors, the transport of
products, access to sites, increase of Signify’s cost, etc. may be affected. The authorities may also implement
measures (such as quarantines or other restrictions) to deal with Covid-19 that could affect the delivery and
projects timeline.
Although there is still much uncertainty regarding the extent and duration of the Covid-19 impact at this time,
Signify will use commercially reasonable efforts to meet the timelines. Our cost for performing our obligations
under an agreement, which may be entered into subsequent to this quotation/Proposal, may also increase as a
consequence of Covid-19 and we reserve the right to revise our prices accordingly.
By accepting this quotation/Proposal, you agree that Signify will not be liable for any loss or damage resulting
from a delay or failure in Signify’s performance of its obligations, provided that such failure or delay arises from,
or is in connection with the Covid-19 situation. Signify shall have the discretion to suspend the performance of
its obligations for so long as the Covid-19 situation negatively impacts such performance taking all
circumstances into account. Any liquidated damages and/or penalties which may be applicable in case of delay
shall not apply if and insofar as the delay directly or indirectly arises from or is in connection with Covid-19.
