Our Mission
The main objective of Smart Solutions Pvt Ltd is to minimize the shopping hours, lower the
consumer hindrance and to eliminate the long queues at retail outlet checkout counters by
introducing the idea of Smart Trolley, which provides consumers a better shopping experience as
well as a reduced business process.

Our Company and Management


Smart Solutions Pvt Ltd, is headquartered in Karachi, Suit no; 602- 603, 6th Floor, Business
Avenue, Shahra-e-Faisal. The company is owned and founded by partners Sarah, Aysha, Shazia,
Hussain and Zain. It is a Partnership Co. which commenced on 13th Feb 2020. All the above
partners are the main Directors of the company. The managing team includes:
1. Ms. Sarah Shahid Khan will act as Managing Partner of the firm, whose primary
responsibilities include making major corporate decisions.
2. The Sales/Account Manager

Our Solution and Services


The trolley device is embedded with a barcode scanner that will keep a track of all the items
consumer has picked and scanned, and show a temporary invoice which will then later scanned
by cashier at checkout stations. This is a dual pronged strategy that will save not only consumers
time but reduces Business Process and increase Return on Investment.
Our objective is to be the leading Smart Solution Company in Pakistan. Our goal is to be the
exclusive service provider to the main Retail industries and super stores. Our distinctive services

Our Target Market
The retail sector of Pakistan is the fastest growing retail sector in the world. The current size of
the Pakistani retail market is around $152 billion and is growing at the rate of about 8.2% per
annum. It also contributes 17% to the country‘s GDP and is expected to grow 50% by 2021,
eating up a bigger share along the way.

Our Competitive Advantage


Smart Solutions Pvt is the only company offering Smart Trolley Device in Pakistan. Currently
we have no other competitor in the local market providing the device along with complete
compendium of distinctive services mentioned above.

Marketing Campaign
Our plan is to aggressively build our client base through personal selling, and direct
mail advertising.

Financial Projections
Based on the size of local operative market, our sale projection for the first year is Rs.18,
000,000. We project a growth rate of 10% per year for the next 3 years. On startup we will have
two trained staff and a clerk who will manage the company‘s environment.

The share of each of the director will be Rs 400,000 to finance our first year growth.

Section 2: INTRODUCTION
Opportunity Identification

In today's world shopping is rather a difficult task which is due to the fact that one needs to stand
in long queues to get their products scanned and then pay for the same. This long and tedious
process results in lots of wasted time and unhappy customer base for the retail stores. All the
major retail stores only use one single technology currently, which are barcodes which was
developed in the 1970s and are still used today.

Idea Generation

To introduce a device in our country look like a tablet phone with a bar code scanner, which is
adjustable in shopping cart, through which buyer can scan the price and make his own invoice by
himself , meanwhile he can also check his shopping expense and per his Budget, ultimate time
saving and problem at cashier counter to reduce the rush and frustration.

Idea Description

The retail industry sector is extremely important, not only now but has been so for a very long
time. The recent evolutions in technology and people‘s understanding towards the technical
advancements have made it possible to develop comfort in the retail industry. Also, consumer
perceptions of privacy, security and trust in present commerce mentioned that the proliferation of
electronic commerce technologies has utterly transformed the way business is conducted.
Products are lined up in stores; customers check their price and may be their nutrition value too.
Put all the stuff in a cart and push it around to fill until its bloating. Standing in a queue for
billing wastes an ample amount of time and customers realize they have stuff in their cart more
than they can afford to buy.

Working Steps

1. When shoppers press ―start button‖ in the system turns ON and then all the components
such as barcode reader, microcontroller start working
2. Every product has a barcode which contains unique id. This Id‘s are already fed in the
database assigned to the corresponding products.
3. When the shopper purchases any product then the barcode reader reads the tag. The
information of the product is extracted and displayed on the LCD screen. At the same
time billing information is also updated.
4. These steps are repeated until the end of shopping button is pressed. Once the
―End Shopping‖ button is pressed the total bill is display on LCD.
5. There is also an option provided to delete some of the products from the cart and the bill
will be updated accordingly, this goes by the customer choice.
6. At the end of shopping, the customer can straight away pay the bill to the other counter
called ―Scan & Go‘ and no need to spend/ kill his time in long queue to reach
to till counter and leave.
7. Inventory status of the products is also updated at the end of shopping.

Implementation Process

The smart cart design comprises of four main components which are the hardware, software, a
wireless communication interface and an online database maintenance system. The interface
between the hardware and the software is also very important for the accurate function of the
smart shopping cart and the other components as well. The wireless technology helped the data
transfer from the cart to the billing counter hassle-free, secure and instant. And the maintenance
of an online database helped in the monitoring of the bills, days sales and was also an efficient
way to maintain a global live inventory dealing with the problem of items going out of stock.

By using that trolley, customer can buy large number of products in very less time with less
effort. At the billing counter side, computer can be simply interfaced for confirmation and bill
printout. we seem it fit to propose the aims to reduce, and possibly eliminate the total waiting
time of customers, lower the total manpower requirement for markets and increase efficiency
overall. In a world where technology is replacing the ways we pursue everyday activity, the
future of the retail industry also lies in more and more automated devices

Present Situation of the Industry


 The global information technology industry is on pace to reach $5.2 trillion in 2020,
according to the research consultancy IDC.
 The United States is the largest tech market in the world, representing 32% of the

Inventory Control System

As per the new era of Digital Transformation began after this COVID-19, we are also
focusing on Contact Less Delivery Model. Once we get the order from the customer, the
delivery date we put in our proposal will always from 2 to 3 weeks.

And we will get the delivery from our Vendor within 1-2 weeks max. So, our model is very
simple to get the goods on time and then directly deliver them on the same time. We are not
planning to store goods in bulk quantity, so there will be no need to maintain any
inventory.

dated, and signed. In addition, we will provide opportunities for our
customer. like free delivery for our cash purchaser and credit term for
creditors.

Order: Order is placed online and delivery date minimum after 3 weeks

Prepare Documents: In this step include all necessary documents like sale invoice and
purchase invoice.

Record transaction: Basic transaction will be through email. But also record in ledger,
balance sheet, and financial statement.

Partnership Deed
Objectives

1. That the partnership business carried out under the name and style of
―Smart Solution‖
2. That the nature of Business is manufacturing barcode scanning Device.
3. That this partnership is commenced from 13th February 2020.
4. That the profit and loss of the firm will be distributed equally between the partners.
5. That in case of any kind of dispute between the partners, the matter will be referred
to the Arbitrator appointed by the consent of the partners and the decision of the
Arbitrator will prevail and be accepted by the partners.
6. That the joint accounts of the said firm will be opened in the name of Firm.
Account will be operated jointly by all partners.
7. That all the decision in respect of the said firm will be taken by natural understanding
and mutual consent of all the partners.
8. That in case of termination of this agreement, all the aspect including cash or
goods distributed between the partners as per document share.
9. That the duration of the partnership is at will, if any partner intends to withdraw from
this Agreement, he will give 02 Months prior notice in writing, to the other partner.
10. That in case of death of any partner, his legal heirs will be responsible for the profits
and losses of the business and they may continue or / terminate the partnership.
11. That if any of the clauses mentioned in this deed contradicts to the Provision of the

Management Responsibility

Ms. Sarah Shahid Khan will act as Managing Partner of the firm, whose primary
responsibilities include making major corporate decisions, managing the overall operations
and resources of a company, act as the main point of communication between the board of
directors and corporate operations and being the public face of the company.

Terms & Conditions

1. That the terms and condition of partnership can be altered or modified with mutual
consent of all the partners which may be expressed or implied.
2. That no new partner shall be admitted to the partnership without the consent of
the existing Partners.
3. That the bankers of the firm can be any bank or banks but the account there in shall be
in the firm‘s name and be operated upon jointly by all the partners or as decided by the
partners from time to time.

Accounts

Those proper and usual books of accounts shall be made as on the 30th June each year when
the Profit and Loss Account and also the Balance Sheet shall be prepared. The first such
account shall be prepared on 30th June, 2020.

Winding-Up

1. That the duration of the partnership shall be at will, provided that either party shall be
entitled to retire from the partnership on giving two-months‘ notice to the other
partners.
2. That in case of death of any partner the legal heirs shall be considered as
partners without dissolution.

Income Tax

The tax will be deducted / paid in the name of firm and separate NTN will be maintained for
the firm.
In Pakistan, the Corporate Income tax rate is 29%, a tax collected from companies. Its amount
is based on the net income of companies, obtain while exercising their business activity,
normally during one business year.

Arbitration

1. The disputes and difference between the partners as to Interpretation of any of the clauses
therein contained or as to the working and /or as to the dissolution of the partnership shall
be referred to Arbitration as under the Arbitration Act applicable in Pakistan and the
award of the arbitrators as the case may be shall be binding upon the parties.
2. The provisions of Partnership Act which have not been specifically provided here
shall apply to the Deed as well.

Registering Partnership Firms
Companies are registered with the Securities & Exchange Commission of Pakistan (SECP).
In order to register a partnership all we need to do is to submit the following documents to the
office of the Registrar of Firms in our City/District:

1. Written Partnership deed on a Rs. 1,000 stamp paper (should be prepared by a lawyer).
2. Filled form.
3. Bank challan.
4. Rent agreement for office in a commercial area along with proof (rent agreement
or property ownership papers).
5. CNICs of all partners along with CNIC of all witnesses. There should be one witness
per partner.
6. Affidavit regarding accuracy of submitted papers
7. Copy of all the above documents duly notarized by a notary public.
8. The partners along with witnesses will have to physically present themselves in front

registering for an NTN and GST Number (Tax)
