INTRODUCTION
1.0 INTRODUCTION

Blind Walker is a revolutionary product designed for the disabled with an aim to provide
a smart help for an improved life. The Blind Walker is a smart wearable device that
enables the blind to walk and run without conceiving the fear of tripping over or getting
hurt while on the streets. In addition to the walking stick that acts as an aid to the blind,
this device compliments the person by enabling it to identify objects and eliminate
common symptoms faced during commutation.

Our company is a medium scale enterprise that plans to start its operations in Bangalore,
India. Blind Walker is our first product to help the disabled and an attempt to enter into
the ever-booming smart wearable industry. It uses the photoelectric sensing technology
for object detection. We are devising a product that utilizes the mentioned technology and
alerts the user with a sound on breaking of the light emission via objects. A measuring
light grid which requires both an emitter and receiver for an objection detection range of
4 meters will be installed in our device as an LED. This LED will be a band of light strips
that would penetrate light through a distance of 4 meters in a 360º susceptible detection
range.

The Wearable Technology industry is one of the most optimized industries in the Internet
of Things. The rapid development in technology in recent years has given mankind new
chances to experience what were once dreams. These wearable devices technology is used
for making smart devices and these smart devices are most useful in our daily lives. Some
additional capabilities of wearable devices are more mundane, but might also provide
information that could be useful in adjusting environmental controls.

1.1 Introduction To Micro, Small and Medium-Sized Enterprises

Small and medium-sized enterprises (SMEs; sometimes also small and medium
enterprises) or small and medium-sized businesses (SMBs) are businesses whose
personnel numbers fall below certain limits. The abbreviation "SME" is used in the
European Union and by international organizations such as the World Bank, the United
Nations and the World Trade Organization (WTO). Small enterprises outnumber large
companies by a wide margin and also employ many more people. SMEs are also said to
be responsible for driving innovation and competition in many economic sectors. Many
small-scale industries are labor intensive, an important factor and a boost to employment
in countries with large numbers of unemployed in times of economic distress. Small
companies often lack capital and utilize more people than large-scale companies for
similar production tasks. Micro Industries Corporation provides interactive digital
signage, electronic contract manufacturing, and electronic design solutions. The company
designs and manufactures interactive digital signage and industrial PC systems, retail
computers, and medical computers in various sizes and formats ranging from small format
fan-less computers, large format landscape products, messenger large format portrait
computers, Digital Lollipop landscape and portrait computers, and stands and speakers.

These small businesses often produce consumer products. For example, India has
employed numerous unskilled, unemployed men and women by using economic
incentives to encourage the growth of cottage industries. In the U.S., small-scale and
medium-scale industries typically are not differentiated, and are considered one
classification distinct from large-scale industry. Some other countries differentiate
between small-scale and medium-scale industries.

Ours is a small business enterprise, a start-up venture that aims at providing smart,
durable and highly revolutionized products to enable visually impaired people to
commute freely and fearless.

1.2 Introduction to Smart Wearable Technology

Among revolutions of technology, “smart-industry” is the one that researchers, enterprises


and manufacturers are aiming to and sooner or later it will become the incredible thing
which changes the lifestyle of the human being. Most big tech giants in the industry focus
on fitness and health trackers and smart watches while Google aims at capturing the smart
glasses industry. Wearable cameras, Virtual Reality headsets that fall under the headgear
category are mostly manufactured by two electronic giants that dominate in oligopoly:
Samsung and Sony.

Although there are a many number of companies competing in the smart wearable
industry, but there are fabricating chances that any new company can soar in this
particular industry. There are many existing brands now that share a similar position in
the market because of their inventions and diversity, that they only differ in a few features
and design basics. However any real revolution may occur in the next few years or even
months. Great ideas that either come from giant companies or start-ups can become game
changers which can lead the company to the top of its market and make new era of
technology come sooner.

Health and fitness-oriented wearable devices that offer biometric measurements such as
heart rate, perspiration levels, and even complex measurements like oxygen levels in the
bloodstream are also becoming available. Technology advancements may even allow
alcohol levels or other similar measurements to be made via a wearable device. The
ability to sense, store, and track biometric measurements over time and then analyze the
results, is just one interesting possibility. Tracking body temperature, for example, might
provide an early indication of whether a cold or the flu is on the way.

Safety 360º is coming with its first ever smart wearable device targeting the people
disabled with visual impairability. The World Health Organization estimates that most of
the world’s 280 million visually-impaired people live in developing countries such as
India. Our shoes will use photoelectric sensors- light grid technology to develop Blind
Walker and designing it to help visually impaired achieve mobility.

EXECUTIVE SUMMARY
2.0 Executive Summary

Safety 360º Private Limited is a start-up Entrepreneurial Venture that manufactures


smart safety devices for the disabled. Our company will start its venture by bringing its
first product line by introducing the Blind Walker. The product is a smart wearable, a
highly revolutionized concept that enables the blind people to mobilize freely and
fearless. Blind Walker uses photoelectric technology- The Light Grid Sensors. A flexible
fabric mounted with Light Grid Sensors that have an emitter and receiver for LED light
signals that beep with a sound on breaking with any sizeable object on the road, that
which fall in its susceptible capacitive range of 4 meters. Blind Walker will use Light
Grid Sensors with an optimal 360º perimeter.

The Company will set up its unit in Koramangala and begin production with an initial
quantity for its market test period and later after research and user response we will
increase our production of Blind Walker. All Research and Development regarding
product development will be conducted in Bengaluru, Karnataka.

2.1 Purpose of Selection of Business:

We choose to launch Blind Walker to enable free and fearless mobility to the visually
impaired and also the differently abled or disabled population. India is now home to the
largest number of blind people; of 37 million India has 15 million blind people. Also,
75% of these cases are avoidable blindness due to the shortage of optometrists and
donated eyes in our country. While India needs 2.5 L donated eyes every year, India eye
banks manage a highest of just 25,000 eye donations 30% of which are not in use. So to
help these visually impaired folks, our company desires to launch this premium product
that would enable every blind to walk hassle-free, safe and confidently.

2.2 Safety 360ºs Blind Walker: A Profile

Sometimes all that a blind person needs is the support of a person, a medium or a force
that simply enables it to visualize the world in a possible manner. However, with a
growing need of donated eyes, the affordability criteria for many blind people still
remains unchanged. Many people cannot afford surgeries and the poorer section of the
society is impoverished under this need. Our company will provide a smarter way of life
for these people and ensure that they can live their lives independently and hassle-free.

III. The objects for which the Company is established are :-

(A) THE MAIN OBJECTS TO BE PURSUED BY THE COMPANY ON ITS


INCORPORATION ARE:-

1. Ensuring quality workspace for employees in the making process of our company’s
high quality products.

2. Use of fair means of remuneration and wages to workers at the workspace.

3. Maintaining product quality and regular quality check for superior customer value
and wide audience engagement.

4. Providing to the user assured safety and high product performance.

(B) Matters which are necessary for furtherance of the objects specified in clause

business of the Company.

7. To negotiate and enter into agreements and contracts with Indian and foreign
individuals, companies, corporations and such other organizations for technical, or
any other such assistance for carrying out all or any the main objects of the Company
or for the purpose of activity research and development of manufacturing projects on
the basis of know-how, or technical collaboration and necessary formulas and patent
rights for furthering the main objects of the Company.

8. Subject to the Provisions of the Companies Act 2013, to amalgamate with any other
company of which all or any of their objects companies having similar to the objects
of the Company in any manner whether with or without the liquidation.
9. Subject to any law for the time being in force, to undertake or take part in the
formation, supervision or control of the business or operations of any person, firm,
body corporate, association undertaking carrying on the main business of the
Company.

10. To apply for and obtain any order under any Act or Legislature, charter, privilege
concession, license or authorization of any Government, State or other Authority for
enabling the Company to carry on any of its main objects into effect or for extending
any of the powers of the Company or for effecting and modification of the
constitution of the Company or for any other such purpose which may seem
expedient and to oppose any proceedings or applications which may seem expedient
or calculated directly or indirectly to prejudice the interest of the Company.

11. To enter into any arrangements with any Government or Authorities or any persons
or companies that may seem conducive to the main objects of the Company or any of
them and to obtain from any such Government, authority, person or company any
rights, charters, contracts, licenses and concessions which the Company may think
desirable to obtain and to carry out, exercise and comply therewith.
12. To procure the Company to be registered or recognised in or under the laws of any
place outside India and to do all act necessary for carrying on in any foreign country
for the business or profession of the Company.

13. To draw, make, accept, discount, execute and issue bills of exchange, promissory
notes bills of lading, warrants, debentures and such other negotiable or transferable
instruments, of all types or securities and to open Bank Accounts of any type and to
operate the same in the ordinary course of the Company.

14. To advance money either with or without security, and to such persons and upon
such terms and conditions as the Company may deem fit and also to deal with the
money of the Company not immediately required.
15. To undertake and execute any trusts, the undertaking of which may seem to the

purpose of dealing all or any of the properties, rights and liabilities of the Company.

17. To sell, mortgage, exchange, grant licenses and other rights improve, manage,
develop and dispose of undertakings, properties, assets and effects of the company or
any part thereof for such consideration as may be expedient and in particular for any
shares, stocks, debentures or other securities of any other such company having main
objects altogether or in part similar to those of the Company.

18. Subject to the Provisions of Companies Act 2013, to distribute among the members
in specie or otherwise any property of the Company or any proceeds of sale or
disposal of any property of the Company in the event of winding up.

19. To distribute as dividend or bonus among the member or to place to reserve or


otherwise to apply, as the Company may, from time to time, determine any money
received by way of premium on debentures issued at a premium by the Company and
any money received in respect of forfeited shares, money arising from the sale by the
Company of forfeited shares subject to the provisions of Sec. 52 of the Companies
Act, 2013.

20. To employ agents or experts to investigate and examine into the conditions,
prospects value, character and circumstances of any business concerns and
undertakings and generally of any assets properties or rights which the Company
purpose to acquire.

21. To establish, for any of the main objects of the Company, branches or to establish
any firm or firms at places in or outside India as the Company may deem expedient.
22. To pay out of the funds of the company all costs, charges and expenses of and
incidental to the formation and registration of the company and any company
promoted by the company and also all costs, charges, duties, impositions and
expenses of and incidental to the acquisition by the company of any property or
assets.

23. To compensate for loss of office of any Managing Director or Directors or other
officers of the Company within the limitations prescribed under the Companies Act
or such other statute or rule having the force of law and to make payments to any
person whose office of employment or duties may be determined by virtue of any
transaction in which the Company is engaged.
24. To agree to refer to arbitration any dispute, present or future between the Company
and any other company, firm, individual or any other body and to submit the same to
arbitration in India or abroad either in accordance with Indian or any foreign system
of law.

3.3 Articles of Association:

ARTICLES OF ASSOCIATION

PRELIMINARY

1. Subject as hereinafter provided the Regulations contained in Table 'F' in the First
Schedule to the Companies Act, 2013 shall apply to the Company except in so far
as otherwise expressly incorporated herein below.

INTERPRETATION

2. (1) In these Regulations:-

(a) "Company" means Safety 360º Private Limited.

(b) "Office" means the Registered Office of the Company.

(c) "Act" means the Companies Act, 2013 and any statutory modification
thereof.

(d) "Seal" means the Common Seal of the Company.

(e) "Directors" means the Directors of the Company and includes persons
occupying the position of the Directors by whatever names called.

(2) Unless the context otherwise requires words or expressions contained in these
Articles shall be the same meaning as in the Act, or any statutory modification
thereof in force at the date at which these Articles become binding on the
Company.

PRIVATE COMPANY

3. The Company is a Private Company within the meaning of Section 2(68) of the
Companies Act, 2013 and accordingly:-

(i) Restricts the right to transfer its shares;

(ii) Limits the number of its members to two hundred:

GENERAL MEETINGS

17. All General Meetings other than the Annual General Meeting shall be called
Extra-ordinary General Meetings.

18. (a)The Board may whenever it thinks fit, call an Extra-ordinary General Meetings.

(b) If at any time directors capable of acting who are sufficient in number to
form a quorum are not within India, any director or any two members of
the company may call an extraordinary general meeting in the same
manner, as nearly as possible, as that in which such a meeting may be
called by the Board.

(c) The Board shall, on a requisition made by, such number of members who
hold, on the date of the receipt of the requisition, not less than one-tenth of
such of the paid-up share capital of the company as on that date carries the
right of voting call an Extraordinary General Meeting.

19. At least twenty-one days, clear notice of General Meetings of the Company,
specifying
the date, day, hour and place of meeting and the objects shall be given. In every
such notice calling meeting of the Company there will appear a statement that
member is entitled to appoint proxy to attend and to vote instead of himself. A
General Meeting may be called after giving a notice shorter than twenty-one days if
consent is accorded in case of any general meeting of all the members entitled to
vote thereat and in case of any other meeting by members holding not less than 95
(Ninety Five) percent of the paid up share capital and is given a right to vote in a
meeting.

20. No business shall be transacted at any general meeting, unless quorum of members
in present. At least two members present in person shall be the quorum for general
meeting subject to the provisions of Section 103 of the Companies Act, 2013.

22. The Chairman, if any, of the Board, shall preside as Chairman of all Board and
general meetings, of the Company. If at any time the Chairman is not present within
15 minutes after the time appointed for holding the same, the Directors present shall
elect one of the Directors present to be Chairman of such meeting. If no director is
present or unwilling to act as Chairman, the members may appoint one of their
members as Chairman.

23. No member shall be entitled to exercise any voting rights either personally or by
proxy at any meeting of the Company in respect of any shares registered in his name
on which any calls or other sums presently payable by him have not been paid or in
regard to which the Company has exercised any right of lien.

MINUTES

24. Directors shall respectively cause minutes of all proceedings of General Meetings
and of all proceedings at meetings of Board of Directors or of committee of the
Board or by postal ballot to be duly entered in books to be maintained for that
purpose in accordance with Section 118 of the Companies Act, 2013.

The minutes of each meeting shall contain:

7.3 Maintenance Policy:

Cleaning, maintenance, and safe operation of all our equipment is vital for the productive
and efficient functioning of our production operation.
Like any good tools, our PRT testing equipment and belt mounting device , battery testing
device, expiry checking and rest will require periodic maintenance to continue to perform
at, and maintain, optimum levels of quality manufacturing. Periodic cleaning of all our
equipment is essential. To maximize the production optimality of our product Blind
Walker, we will develop a daily, weekly, and periodic maintenance check list. Our
customers will appreciate our efforts.

9.1 Implementation Strategy

1. Determining Budget:

What we offer depends on what we can afford. Budgeting our product; creating a
budget that covers each expense to be incurred, from salary to rent. Our product will
be priced according to people belonging to lower and middle income levels.

2. Outlay of Marketing Campaign:

We will focus on creating engaging content both graphical and visual for our
advertising media and initial marketing processes. Our brand value, perceived brand
deliverables and market pricing in terms of customer satisfaction and value.
3. Deploy All Funds For Operating Activities:

Doing so will allow us to estimate how many Blind Walkers we can stock in relation to
our budget so enough is left for Packaging Distribution and office supplies and other
fixed expenses, such as utilities and rent.
Finalizing the preferences and specific choices, making sure initial inventory is
delivered before opening. Stocking the shelves. Purchasing computers for desk
employees.
4. Selection Of A Location And A Name For The Business:

A bookstore and cafe will likely take up a large amount of space. Ensuring that our
customers can comfortably walk into our store/office and have room to move around.
Renting a building is typically more cost-effective than purchasing a lot and
constructing our own building. We need to make sure the location has well-lit areas,
room for shelves and an area where a seating arrangement can be placed.

5. Conducting Production Activities:

At safety 360º we will assemble our PRT sensors and Teflon belts in our R2100 series
machine. Manual work will be done in the office space regarding clipping of Sensors
on belts and auto collection of stitched sensors for packaging and distribution.

6. Creating An Advertising Plan:

Advertisements tell people that the product exists in the market and gives one a
reason to check out the availability. Advertisement plan will focus on the
uniqueness of the product and then focus on the selling one to one.

The Blind Walker has been our very valued project with a lot of time and effort invested
and we believe it is a very innovative yet profitable venture that we have undertaken.
This initiative was taken in order to provide the blind an independent, effective and
mobilized life. Through our research, we have identified that majority of the people
have found blind people around them and industry reports of various research institutes
suggest the same that India has the largest Blind population.

Our business idea looks to eliminate this very problem faced where the blind population
is so dependent. We expect to use our business idea to help people of all ages and also
convert Safety 360º Private Limited into a profitable venture someday and achieve our
break-even after a year of commencement. Apart from earning profits, our goal is to
provide the users with satisfaction, safety and performance. This industry is one that
hasn’t been explored completely and we hope to change that by our product. This can be
only achieved through continually satisfying the various needs of our customers,
maintaining the best possible relationships with them and retaining our valuable ad
skilled employees.

Achieving break-even as early as possible is our main motive at the time of


commencement, we also aim to capture the majority of the market share after 5 years of
commencement through quality service and products and promotional marketing
strategies. The scope of growth is vast for the simple reason that we are one of the few
that have tapped into this market and this is an emerging industry. Since we are required
to have a tie-up with our industrial product suppliers, we hope to have a very strong
network reach and best possible relationships and goodwill in Bangalore. We hope that
