MANAGEMENT AGREEMENT
This MANAGEMENT AGREEMENT, executed this _______ day of _______2021 at
Municipality of Dinalupihan.
BY AND BETWEEN
The BALANGA DINALUPIHAN RO MAN HIGHWAY JEEPNEY OPERATORS AND
DRIVERS TRANSPORT SERVICE COOPERATIVE (BDRHJODTSC) a duly organized
cooperative registered with the Cooperative Development Authority (CDA) under Certificate of
Registration No. 9520-100300031367 dated January 5, 2021 herein after referred to
COOPERATIVE, represented herein by its Chairman Jessie D. Ferma.
AND
Jessie D. Ferma, Filipino, of legal age and residing at Mambog, Hermosa, Bataan herein after
referred to as Member – Owner.
WITNESSETH:
WHEREAS, the member is the true, and legal and absolute owner of a motor vehicle described
as: MAKE: REBUILT TYPE: JITNEY MOTOR NO.:4BC2-808511 CHASSIS NO. AAS205-
0421-C PLATE NO.: CXJ 571 LTO FILE NO.: 0358-00000121248 LTO CERTIFICATE OF
REGISTRATION NO. 6807922-2 and desires to join this cooperative.
NOW, THEREFORE, for and in consideration of the premises, the parties have
voluntarily covenanted and agreed as follows:
1. The Member – Owner hereby, by these presents, transfer and convey to management
the operation of the motor vehicle described above to the Cooperative and the
Cooperative shall operate the vehicle as the public utility pursuant to and in
accordance with the applicable laws, rules and regulations of the Public Service laws
enforced by the appropriate offices and agencies of the Republic of the Philippines,
and by these presents the Member -Owner hereby undertakes to comply with the
policies, rules, and regulations of the Cooperative, such as the scheduling of vehicle,
etc. in order to achieve the rationalization of traffic.
2. The Cooperative shall apply with the Land and Transportation Franchising and
Regulatory Board (LTFRB) for the franchise to operate the said vehicle together with
the other vehicles as public utility, in the name of the cooperative. However, the
description of the different unit including the name/s of the Member – owners shall
have no property right equitable or otherwise over the said permit/franchise which be
hereby recognized to belong exclusively to the Cooperative as one of the means to
implement the objectives of the transport cooperative program so that in the event of
the withdrawal from the cooperative of the Member – Owner whether agreed by both
parties that the Member – Owner and his/her units will be dropped from the provision
of the By Laws of the Cooperative and the rules of the LTO and OTC.
3. The Cooperative, however, expressly recognize the title and ownership over the said
vehicle as being and remaining in the Member – Owner shall entitled to the income
derived from the operation of his unit. All expenses for the safe, adequate, and
efficient operation of his unit likewise
4. The Cooperative shall be exclusive liaison (except pertaining to the determination of
liabilities mention above) in all transaction pertaining to the operation of the said
vehicle as public utility with the various government and private agencies and offices
such as among others, the Land Transportation Franchising and Regulatory Board,
the order to achieve the objectives of the cooperative program as envisioned so that
for this purpose, the COOPERATIVE shall be entitled to collect and received
management fees from the Member-Owner in the amount shall be preferred
claim/deduction from the income of the said vehicle as the vehicle itself until fully
paid.
5. To instill discipline within the COOPERATIVE, unwarranted and excused failure
and/or the continued and obstinate refusal of the MEMBER-OWNER to comply with
his duties and obligations set forth in the AGREEMENT, including his other duties
and obligations as a member of the COOPERATIVE shall be sufficient reason and
cause, which may be exercised at the option of the COOPERATIVE for the
suspension of the rights and privileges of MEMBER under this AGREEMENT and in
the COOPRATIVE by recommending the dropping of its franchise with the LTFRB
and confiscation of its plates.
