SECRECY DECLARATION

We …………………………………………………………………………………….as represented by
the undersigned hereby declares that:

ITEM 1:

We shall at no time without the prior written agreement of Qatar Petrochemical Company
(QAPCO) Q.P.J.S.C., a Qatari Private Joint Stock Company, Commercial Registration No.
141, Paid up capital QAR 436,000,000, having its main office in Doha, State of Qatar, P.O.
Box 756 (hereinafter “QAPCO”):

(A) disclose to any third party the fact that the works or services may be or have been
entrusted to us and/or that we have been invited to discuss for the said
works/services;
(B) reproduce, copy, use, disclose, place at the disposal of or use on behalf of any third
party or enable any third party to peruse copy or use any documents, data or other
information:

i) placed or to be placed at the disposal of us by or on behalf of QAPCO for


whatsoever reason;
ii) which we may in any other way acquire from QAPCO;
iii) which we have prepared or will prepare, insofar as such documents, data and other
information contain any information placed at the disposal of us or acquired by us
as referred to in (i) and (ii) above.

(C) We may disclose such information referred in (A) and (B) to its our subcontractors,
any affiliate and their employees, who are involved in discussions relating to a further
cooperation with QAPCO and have a specific need to know such information.

ITEM 2

That we, upon completion of the works/services, or, in the event that the
works/services will not be entrusted to us, upon receipt, as the case may be, shall
return to QAPCO all documents and data referred to in Item 1, paragraphs (B) (i) and
(ii).

ITEM 3:

That the undertakings contained in ITEM 1 paragraphs (A) and (B) above shall not apply:

I. If and insofar as such fact and documents, data and other information are part of or
become part of the public knowledge or literature after the date of their receipt by us
as from such subsequent date;
II. If and insofar as documents, data and other information similar to such documents,
data and information are already in the possession of us at the date of their receipt by
us as from such date;
III. If and insofar as documents, data and other information similar to such documents,
data and information are subsequent to the date of their receipt by us disclosed to us
by a third party whose possession is lawful and is under no obligation not to disclose
as from such subsequent date;
IV. If and insofar as documents, data and other information similar to such documents,
data and information are developed by us independently;
V. We may make disclosures required by law or court order provided we use diligent
reasonable efforts to limit disclosure and has allowed QAPCO to seek a protective
order.
SECRECY DECLARATION

ITEM 4:

That we shall ensure so far as reasonably possible that if under the terms of this
declaration any of the documents, data and other information (or the facts contained
therein) referred to in Item 1, paragraph (A) and (B) respectively come to the knowledge
and/or in the possession of any third party through the actions or fault of us, such third
party shall also be bound by the stipulations contained in this declaration.

ITEM 5:

This SECRECY DECLARATION shall be binding on all our officers and employees, our
subcontractors of any tier and their personnel.

ITEM 6:

That this declaration shall be construed under and governed by Qatari Law.
