DEED OF CONDITIONAL SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED made and executed this 21st day of December 2018 in Dumaguete City by
and between:

ANA T. DELEÑA, of legal age, Filipino, widow and a resident of Bacong, Negros
Oriental, Philippines, herein represented by her attorney-in-fact ALFREDA TINGCAY SONAJO,
of legal age, Filipino, married and a resident of Bacong, Negros Oriental, Philippines, by virtue
of a Special Power of Attorney otherwise known as Doc. No. 257; Page No. 53; Book No. I;
Series of 2018 of the notarial register of Notary Public Atty. Alexylle Rose Garsula-Concepcion
in Dumaguete City, hereinafter known as the FIRST PARTY;

-AND-

GEORGINA SERRA EVANS, of legal age, Filipino, married to David Ewan Evans with
residence and postal address at Block 1 Lot 18, Jasonville Subdivision, Junob, Dumaguete City,
Negros Oriental, Philippines, hereinafter known as the SECOND PARTY;

WITNESSETH:

WHEREAS, the FIRST PARTY is the registered owner of a parcel of land, Lot No. 6466,
Cad. 212 equivalent to Lot No. 1, Ccs-07-000618 covered by Original Certificate of Title No.
10685, situated in Buntod, Bacong, Negros Oriental, Philippines, consisting of TEN
THOUSAND SIX HUNDRED SIXTY-SIX (10,666) SQUARE METERS, more or less, with all the
improvements found thereon, which parcel of land is more particularly described as follows:

ORIGINAL CERTIFICATE OF TITLE NO. 10685

“A parcel of land (Lot No. 6466, Cad. 212 equivalent to Lot No. 1, Ccs-07-
000618), situated in the Barangay of Buntod, Municipality of Bacong,
Province of Negros Oriental, Island of Negros. Bounded on the NE., along
line 9-10 by Lot 5036, Cad. 212; and along line 10-11 by Lot 5425, Cad.
212; on the E., along lines 11-12-13 by Lot 5061, Cad. 212; on the SE., along
line 13-1 by Lot 6467, Cad. 212 equivalent to Lot 2, Ccs-07-000618; on the
SW., along line 2-3 by Lot 5056, Cad. 212; and along lines 3-4-5-6-7 by Lot
5058, Cad. 212; and on the NW., along lines 7-8-9 by Lot 5037, Cad. 212.
Containing an area of TEN THOUSAND SIX HUNDRED SIXTY-SIX (10,666)
SQUARE METERS, more or less.”

That the FIRST PARTY has manifested her desire and willingness to sell her share,
portion of the above-described parcel of land together with the improvements standing
thereon, consisting a total area of FIVE HUNDRED (500) SQUARE METERS, more or less, to
the SECOND PARTY for a total consideration of ONE HUNDRED THOUSAND PESOS
(Php100,000.00), in Philippine Currency, and the FIRST PARTY undertakes upon execution of
this contract never to encumber, dispose nor sell the same to any other third person or entity;

That the SECOND PARTY likewise has manifested her willingness and desire to purchase
the share of the portion of the above-described parcel of land together with all the
improvements found thereon;

FURTHER WITNESSETH:

That the FIRST PARTY and the SECOND PARTY agree to be bound on this DEED under
the following terms and conditions:

1. That upon the execution of this contract, the SECOND PARTY shall pay the amount
of FIFTY THOUSAND PESOS (Php50,000.00), in Philippine Currency, to the FIRST
PARTY as down payment;

2. The remaining balance of FIFTY THOUSAND PESOS (Php50,000.00) will be paid


by the SECOND PARTY to the FIRST PARTY within TEN (10) MONTHS from
execution of this contract or until 31 October 2019 by monthly equal installments
of FIVE THOUSAND PESOS (PhP5,000.00), in Philippine currency, payable every
last day of each month;

3. The SECOND PARTY shall have the right to take possession of the improvements
situated in the land as part of the share of the FIRST PARTY and exercise all the
rights of an owner thereof;

4. The FIRST PARTY shall execute a Deed of Absolute Sale in favor of the SECOND
PARTY upon payment of the remaining balance for purposes of transfer of the title
of the above-described parcel of land under the name of the SECOND PARTY;

5. The SECOND PARTY will shoulder the capital gains tax, documentary stamp tax,
transfer tax, notarial fees and all administrative fees including processing fees
necessary for the transfer of Title to her name;

IN WITNESS WHEREOF, WE have hereunto set our hands this 21st day of December
2018, in Dumaguete City, Philippines.

Oriental, Philippines, consisting of two (2) pages, including this page where the
acknowledgement is written and has been signed by the parties and their instrumental
