The memorandum of agreement is between Med Options Multi Specialty Clinic and Diagnostic Center, Inc. and Bauer Foundation. MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT made and executed this 3rd day of June
2019 at Las Piñas City, by and between:

MED OPTIONS MULTI SPECIALTY CLINIC AND DIAGNOSTIC


CENTER, INC., a corporation duly organized and existing under Philippine laws,
with principal office at 157 P. Diego Cera Avenue, Las Piñas City, represented by its
President, FERDINAND A. ASTOM M.D., and hereinafter referred to as “MED
OPTIONS”.
- and –
BAUER FOUNDATION, a corporation duly organized and existing under
Philippine laws, with principal office at 8210 Dr. A. Santos Ave. Parañaque City,
represented by its HR-Admin, MR. REYNALDO TAGARO, and hereinafter
referred to as “BAUER FOUNDATION”.

WITNESSETH:

WHEREAS, MED OPTIONS is a duly accredited industrial medical clinic with


complete diagnostics, drug testing facility, neuropsychological evaluation, as well as multi-
specialty consultations;

WHEREAS, BAUER FOUNDATION is desirous to acquire the services of Med


Options to conduct random drug testing to its employees.

NOW THEREFORE, for and in consideration of the above premises, and the
terms and conditions herein below set forth, the parties hereby agree as follows: That-

DRUG TESTING

1. MED OPTIONS shall conduct random drug test screening examinations for
BAUER FOUNDATION employees requiring the procedure.

2. The above service shall be for a fee of two hundred fifty pesos (PH250.00), subject
to adjustment upon mutual agreement of the parties following a periodic review.

3. Payment for the examinations shall be settled in full 15 days upon receipt of the
billing statement.

4. The drug test results shall be given BAUER FOUNDATION within twenty-four
(24) hours from the time the examinations were completed.

5. Collection of urine specimen shall be done by duly accredited specimen collectors


from the MED OPTIONS or done under the supervision of the MED OPTIONS
team on site.

6. MED OPTIONS may conduct remote collection either at the facility of BAUER
FOUNDATION or on site as requested by BAUER FOUNDATION employees,
provided such location is compliant with the requirements of the Department of
Health.
7. All patients found out to be positive in the screening for Drug Testing should
automatically undergo a CONFIRMATORY TEST in any of the accredited
confirmatory laboratory by the DOH. Payment of the CONFIRMATORY TEST will be
shouldered by MED OPTIONS.
Our Laboratory will facilitate the processing of the above confirmatory test and
official results will be available two to three (2-3) weeks after the specimen has been
submitted.

8. This agreement shall be for a term of one (1) year and is subject to termination by
either party on thirty (30) days notice in writing.

IN WITNESS WHEREOF, the parties have hereunto set their hands on the date
and place first above written.
