1. HISTORY OF THE COMPANY

Tech Mahindra began as a joint venture with British Telecom and the company began
as Mahindra-British Telecom in the year 1986. This was the time when IT revolution
was [Link] a company that was into manufacturing, automobile and steel, its
foray into telecom and IT was a tactical move to diversify the Mahindra Group.
TCS, Infosys and WIPRO were headed to success in the 80s, and Mahindra Group’s
step was a clear quest in search for new opportunities.

By 1995, it had established office in the UK and expanded to Germany in 2001. Till
then, Mahindra-BT was more into telecom software. It was the acquisition of Axes
Technologies that really made the company takeoff. By 2005, Mahindra-BT was the
eighth largest software exporter in India. The name was changed to Tec h Mahindra in
the year [Link] clearing the roadblocks, Mahindra headed to the best strategy ever.
The acquisition of Satyam Computers in 2009 made Tech Mahindra became a player in
the Indian IT industry. Satyam Computers was rocked by a financial crisis and hit an
all-time low. Mahindra jumped at the opportunity.

The company hit new ground in 2010 when it became the official IT partner and sponsor
for the 2010 FIFA world cup. This was a huge step forward for the company which earned
a huge global recognition. Mahindra managed about 1 billion US$ worth of assets during
the world cup.
Over the years, Tech Mahindra could not quite reach the level of its peers such as Infosys
and Wipro. Despite all the challenges, the company worked diligently toward s achieving
new heights.

Mahindra group adopted a philosophy of Rise. The company set out to achieve world class
standards in their efforts to grow as a conglomerate by challenging conventional thinking
and apply constant innovation. The three pillars of their philosophy are a) Accepting no
limits, b) Alternative thinking and c) Driving positive change.
Tech Mahindra’s recent success is one shining example of the effectiveness of their
philosophy. Today, the company has presence in more than 51 countries and over 600
clients. Tech Mahindra grew over 14% in the second quarter of 2014. The growth has
become quite a story in itself and synonymous with its new ambition to Rise.
The story of the company’s successful journey and steady growth is an excellent t estimony

Vision & Mission


Tech Mahindra Foundation is the Corporate Social Responsibility (CSR) arm of Tech Mahindra.
It was set up in 2007 as a Section 25 Company (referred to as Section 8 Company in the

CP Gurnani (popularly known as ‘CP’ within his peer group), is the Chief
Executive Officer and Managing Director of Tech Mahindra.

An accomplished business leader with extensive experience in international business development, start-ups and
turnarounds, joint ventures, mergers and acquisitions, CP led Tech Mahindra's transformation journey, and one of the
biggest turnarounds of Indian Corporate History - the acquisition and merger of Satyam.

His inimitable style of leadership, combined with his sharp focus on customer experience has helped Tech Mahindra
emerge as one of the leading digital IT solution providers of India.

In a career spanning 36+ years, CP has held several leading positions with Hewlett Packard Ltd, Perot Systems
(India) Ltd. and HCL Corporation Ltd. CP has also served as a Chairman of NASSCOM for the year 2016-2017. An
outstanding people manager, CP has an entrepreneurial style of management that is a blend of enthusiasm and
dynamism. He has always focused on people's strength to bring out the best in them. 'Work hard and play hard' is his
motto and he applies it to all aspects of his life with complete passion.

A chemical engineering graduate from the National Institute of Technology, Rourkela, he is a distinguished and active
alumnus of the Institute. CP has also been felicitated with an honorary Doctorate degree by Veer Surendra Sai
University of Technology. He also serves as active Chairman of IIM Nagpur.

CP has been chosen as the Ernst and Young ‘Entrepreneur of the Year [Manager]’, CNBC Asia’s ‘India Business
Leader of the Year’, Dataquest ‘IT person of the Year’ - in 2013 and Business Standard ‘CEO of the Year’ in 2014. He
was also awarded the ‘Best CEO of the Year’ at the Forbes India Leadership Awards held in 2015. Recent addition to
the bucket was ‘Asia One Global Indian of the Year - Technology’ in 2016. CP was also listed among the top 100
global CEOs as part of The Wall Street Journal CEO Council 2016.

CP strongly believes in promoting child education. He is an active member of the Tech Mahindra Foundation –
launched in 2007 to help the underprivileged children with 116,000 beneficiaries & counting. CP, along with his wife
Anita, have founded ‘Titliyan’, an NGO located in Noida spreading smiles, happiness and education to more than 140
under privileged children – a dream project for the Gurnanis. This is definitely a perfect culmination of his leadership
capabilities in all spheres of life.

brands in the world. He is a member of the think-tank of Mahindra Group’s supervisory board called “Group Executive Board”. He

Partha started his career with Modi Xerox as a Management Trainee and before he joined Mahindra & Mahindra in 2000, he was the Ass

CHIEF OPERATING OFFICER

L. Ravichandran (Ravi, to all his peers) is President and Chief Operating Officer for Tech Mah
the organization’s senior executive leadership team. In a career spanning 37 years, he has
building and delivering businesses to many Fortune 500 organizations across the world.

At Tech Mahindra, Ravi heads global delivery across all verticals, competencies and geograph
role in many initiatives including alliances and acquisitions. Ravi’s strength lies in creation of n
known for his capability to create high performance teams, deliver quality solutions and nurture strong client relationships.

Prior to Tech Mahindra, Ravi was Chief Operating Officer in Perot Systems India. He has worked with reputed organizations including
headed the Application Solutions division and managed client relations, services and delivery of large accounts.

Ravi holds a Master’s degree in Computer Science and is a distinguished alumnus of the Indian Statistical Institute, Kolkata.

4. MERGERS AND ACQUISITIONS

Mergers and Acquisitions Mergers Two wholly owned subsidiaries of Tech Mahindra, Tech Mahindra
BPO Limited (TMBL), and New vC Services Private Limited (New vC), merged with the Company
during the year 2015-16. As a result of the merger, the entire business and all the assets and
liabilities, duties, taxes and obligations of both the merged companies have been transferred to and
vested in Tech Mahindra with effect from April 1, 2015. During the current year, Mahindra
Engineering GmbH got amalgamated with Tech Mahindra GmbH. Acquisitions Pininfarina Tech
Mahindra and Mahindra & Mahindra (M&M), have jointly entered into an agreement with Pincar
S.r.l., to purchase a controlling stake in Pininfarina S.p.A.. Pininfarina is an iconic 85 year old
legendary Italian styling brand associated among others with Ferrari, Alfa Romeo and Peugeot. As
part of the agreement, Tech Mahindra and M&M shall purchase 76.06 % of Pininfarina shares from
the current controlling shareholder Pincar S.r.l. This acquisition will complement existing
engineering capability of the Company with High-end styling and Engineering Services.
