This guide is designed to help you use our services accurately and effectively to avoid you any
disappointments. To help you better understand the different types of registrations done by our
office, first note the difference between a BUSINESS and a COMPANY. A Company . And a
Business. Let us now take a look at the online services that are offered by the Registrar of Companies
office. The service menu is located on your left and the picture below shows what it looks like.
Now let us discuss each of the functions (services).
Function 1.
Application Draft List: If you were filling in the
details on a form but could not finish filling all the
details yet, you could click on . This
would save the information that you had typed so far
and allows you to continue filling in details for the same
application from where you left it. To continue the
application from that point, simply click on Application
Draft List. This function stores all the applications that
you wish to submit another time.
Function 2.
Reservation of Proposed Company Name: If
you intend to register a Limited Liability Company, you
must first reserve a name for it. Note that there are
many existing companies and businesses with the same
or similar name (s) that you have in mind. To know
whether an exact name of your choice exists with our
office, click . This option would enable you to check if our office already
has documents related to that particular company or business. When you click on
, type in your company or business name as shown below and click
. If the name of the company or business is found, then the result would be displayed as
it is in the screenshot on the next page.
Since the above name is already registered with the Registrar of Companies office, you cannot use
the same or similar names to register your business or company. To ensure that your application is
not rejected by our office, expand your search. For instance, if you want to register a business or
company by the name of Suva Diners, just do a search on Diner. To do this, type Diner in the
company name box, and click on . This would display all the business or company names
with the word Diner in it as shown below:
Make an application to reserve name of proposed company only if you are certain that the name
you want for your business is in the clear. Note that Suva Diners and Diners Suva are treated as
similar names by our Office. This means that if a company or business name exists by the name of
Suva Diners, then your application to reserve the name Diners Suva would be rejected by the
Registrar of Companies. If you are sure that your business or company name is in the clear, click on
. Fill in the details on the form that accompanies this function. The
fields with a red asterisk (*) with it, means that you must enter a valid detail for it. If there is an error
with the details entered on the form, scroll up or down the page to check for the error message that
would inform you what you have done wrong. If you want to submit the application some other time
but want the details of the application to be saved at this point in time, you can use the
button (Refer to Function 1 for explanation). If you are certain that all the details
are accurate, click on . A similar message would appear on the screen as shown below:
Please take note of your Application ID as this is the ID on which payment for the service would be
accepted. If you are not sure about the application ID, log on to your email for payment details.
(Refer to Function 13 to learn how to make payments to the Registrar of Companies). It is important
to know that approval for name reservation is only valid for a period of 30 days. You are required to
produce related documents to the Registrar of Companies office within 30 days of the approval. If
you fail to produce the required documents within 30 days, you can apply for extension of name
reservation by clicking . (Refer to Function 6 to know how to apply for
extension of the name (s) reserved).

Function 3.
Registration by a Firm: If you are making an application to register a business on behalf of a
firm, click on . First use the function to find out if
the name you want to use is not taken by following the same process as explained in Function 2.
Then fill in the necessary details and take note of the question
on the application form. If the business you wish to register is a local one
(not a foreign [overseas] investment), then you need to click No to the question Is this company
related to a foreign investment? and submit the application However, if the business you wish to
register is a foreign company investing in Fiji, then you should click Yes to the question Is this
company related to a foreign investment?. The following are the processes for registering a foreign
company or business:
1) First submit the application to the Registrar of Companies and Click Yes to the question Is
this company related to a foreign investment?
2) Secondly, wait for approval from the Fiji Trade and Investment Bureau and other external
agencies involved. You would be notified my email on the status of your application at each
stage of the approval processes by the various approving agencies.
3) Thirdly, after you have had approval from all the external agencies involved, then the
Registrar of Companies can final approve your application and issue you the business
certificate.

continue submitting your application some other time. Click only if you are sure that all
the details entered on the form is accurate. (Refer to section for to learn how to make payments to
the Registrar of Companies).
Function 4.
Registration by an Individual: If you are making an application to register a sole proprietor
business, click on . First use the function to
find out if the name you want to use is not taken by following the same process as explained in
Function 2. Fill in the necessary details (take note of the question Is this company related to a
foreign investment?, and click only if you are sure that all the details are entered on
the form accurately. You would be notified on the outcome (s) of your application by email that you
provided when you registered yourself as a user on the business portal.
Function 5.
Registration for a Limited Liability Company: Once you click on
, the following screen would be displayed:
Note that on this display, you would only be able to see the name that you have reserved and gotten
approval for from the Registrar of Companies. You are required to submit the following to the
Registrar of Companies office after you have submitted the application:
Memorandum of Association
Article of Association
Notice of Registered Office
Particulars of Directors
Declaration of Compliance
(Please call the Registrar of Companies office as they could provide you samples of the
above documents to assist you).
It is advised that you refer to the automated email for further clarification on the process for
Incorporation of the Company. Select the name that you want as your limited liability company as
shown above and click on .
Click on if you want to save the details you have entered so far and wish to
continue submitting your application some other time. Click only if you are sure that all
the details entered on the form is accurate. (Refer to section FUNCTION 13 to learn how to make
payments to the Registrar of Companies).
Function 6.
Extension of Name Reservation: This function is available to you if you had been given
approval for the reserved name (s) but did not submit the necessary documents for Incorporation of
the Company within 30 days of approval. In this case, you can make an extension for the name
reserved. Click on and you will see the list of names that you had
previously reserved and gotten approval for. Select the name for which you want to apply for
extension of name and provide a reason as to why you have had to apply for extension of name as
shown below:
Click only if you are sure that all the details entered on the form is accurate. (Refer to
FUNCTION 13 to learn how to make payments to the Registrar of Companies).
Function 7.
Search of Company Document: In case you want to go to the Registrar of Companies office
and physically check the details (in file) of any particular company or business, you could make an
application online. Click on , type in the name of the company or
business that you want to search and click .
If the name of the company or business is found, then the result would be displayed as it is shown
on the screenshot on the previous page. Select the name of the company or business that you are
interested in and click on . (Refer to section FUNCTION 13 to learn how to make
payments to the Registrar of Companies).
Function 8.
Application for Change of Company Name: This function is available to you only if you
have successfully registered a limited liability company. In other words, you have final approval for
the Registration of the Limited Liability Company. You will be able to see the names of all the
companies that you have formed successfully as shown below.
Select the name of the company that you want to change the name for and click on
only if you are sure that the company name you have selected is the accurate one. The following
screen on the next page would be displayed after have clicked on for the name that
you selected:
State the reason for change of company name. Click on if you want to save the
details you have entered so far and wish to continue submitting your application some other time.
Click only if you are sure that all the details entered on the form is accurate. (Refer to
section FUNCTION 13 to learn how to make payments to the Registrar of Companies).
Function 9.
Change of Director: This is similar to the Application for Change of Company Name in the sense
that the same rules apply. You would only be able to change the Directors of the company that you
have registered successfully. All the names that you have registered successfully would be displayed
as shown on the screen below:
Select the name of the company that you want to change the director (s) for and click on
only if you are sure that the company name you have selected is the accurate one. The
following screen would be displayed:
Click on to enter the details of the new Shareholder. Enter the details of the
shareholder (s) as indicated on the form shown below and click : Follow the same steps
to add more shareholders. Click on to remove a shareholder (s). Click on
if you want to save the details you have entered so far and wish to continue submitting your
application some other time. Click only if you are sure that all the details entered on the
form is accurate. (Refer to section FUNCTION 13 to learn how to make payments to the Registrar of
Companies).
Function 10.
Change of Shareholders: To change the shareholder (s) details, click on .
Follow the same steps as illustrated in Function 9 to make this change.
Function 11.
Check Application Status: Use this function to check the status of your application. Click on
and enter any of the details that you want to make the search by:
The result would be displayed based on any of the details that you enter as shown above. There is
no fee charged for the search. Note that you can only make any of these searches based on your
own applications. All the results displayed would be shown only in relation to your own application.
Function 12.
Feedback to ROC: This function allows you to send your feedback to the Registrar of Companies
office. Click on and the following screen would be displayed:
Enter the details on the form and click on .
Function 13.
Online Payment: (ONLINE PAYMENT WILL BE AVAILABLE IN FUTURE) Click on if
you wish to make payment (s) online through VISA cards or other credit cards and the following
screen would be followed:
Since you would be making payment for a new application, click on and type the
application ID number on the next screen:
Click on search to find that particular application, check ( ) the application and click as
shown below:
Take note of the charge of the service and click on . To make payment for multiple
applications, click on again and follow the same processes again until you come
till this screen and then click .
On the online payment screen on the next page, enter the details that are required:
After you have entered the details accurately, click on . Once details are
accepted successfully, the following message would be displayed on the next screen:

Alternative payment method: You can also make payment to the Registrar of Companies by:
Posting company cheque to our office (call our office for more details on this).
Take note of the Application ID number (example RCBS200812010001) and take it to the
Registrar of Companies office. Hand the ID number to the cashier and you would be issued
your receipt. Bring your receipt to our office, for any further queries about your application.
