Pro/e1ure. &n the absence o/ a 1rinci1al contract or tender docu0ent, these general conditions o/ 1urchase shall taKe 1recedence over all other ter0s and conditions sub0itted by, or included with any Iuotations /ro0 the V3N7OR, e.ce1ting that any ter0s and conditions a11earing on the /ace o/ the 'urchase Order, shall taKe 1recedence over these general conditions o/ 1urchase. @here there is a 1rinci1al contract or tender docu0ent, the ter0s and conditions contained therein shall taKe 1recedence over these general conditions o/ 1urchase.

No deviations /ro0 the s1eci/ication and>or ter0s and conditions o/ the 'urchase Order are 1er0itted without the +OH'AN? 1rior written consent. ,he +OH'AN? reserves the right to add to, deduct /ro0 or otherwise alter reIuire0ents o/ the 'urchase Order. Pur/2a.e Or1er ,he V3N7OR shall not su11ly goods and>or services to the +o01any without being in 1ossession o/ a Valid 'urchase Order issued by an authorised +OH'AN? o//icial. ,he +OH'AN? en/orces a 'ay as 1er 'urchase Order 'olicy, as a result the onus shall be on the V3N7OR to veri/y the 1ricing details on the 'urchase Order 1rior to delivery and re1ort any inconsistency to the res1onsible 'rocure0ent O//icial dis1layed on the 'urchase Order. 'ost delivery invoice variations will only be entertained with the written consent o/ the +OH'AN? +ountry 'rocure0ent Hanager. )uch variations 0ay result in a delay in 1ay0ent and all costs associated :interest, /orward cover etc.< shall be /or the V3N7OR account.

All goods shall be o/ the best Iuality and suitable /or the 1ur1ose o/ which they are reIuired, and i/ a s1eci/ication is 1art o/ the 'urchase Order, shall be in strict con/or0ity with such s1eci/ication. ,he V3N7OR shall guarantee the goods /ro0 all de/ects /or #= 0onths /ro0 delivery, or #8 0onths /ro0 co00issioning, whichever shall occur /irst.

D,./repan/,e. )hould any discre1ancy or a0biguity arise in relation to the goods to be su11lied against the 'urchase Order, it shall be re/erred to the +OH'AN? /or resolution thereo/. Any /ailure to agree u1on such resolution shall constitute a dis1ute to be resolved by arbitration on the basis re/erred to hereunder. ,he +OH'AN? shall not be liable /or any additional cost resulting /ro0 abortive or wasted worK arising 1rior to the discovery o/ such discre1ancies or a0biguity.

Con.,3nmenV3N7OR shall adeIuately and 1ro1erly 1acK the goods /or transit. ,he 1acKaging shall clearly state the 1ro%ect identi/ications, where a11licable, the 'urchase Order nu0ber, consignee and destination.

Dra8,n3. an1 !anua0. 7elivery shall not be dee0ed to be co01lete until all 0anuals and>or drawings reIuired to be su11lied in ter0s o/ the 'urchase Order have been delivered to and acce1ted by the +OH'AN?.

*or/e !a:eure (',a !a:or) Neither the +OH'AN? nor the V3N7OR shall be liable /or /ailure to 1er/or0 in the event such /ailure is caused by /orce 0a%eure. Force 0a%eure shall include, but is not li0ited to war, riots, civil co00otions, natural 1hysical disaster, striKe or industrial action by V3N7OR e01loyees, action by govern0ent or 1ublic authority. Notice o/ occurrence o/ /orce 0a%eure shall be given by the e//ected 1arty as soon as 1ossible, with details o/ the liKely e//ect.

$erm,na-,on )hould the +OH'AN? so wish, the +OH'AN? shall have the right to ter0inate the 'urchase Order in whole or 1art, by written notice to the V3N7OR. On recei1t o/ such notice the V3N7OR shall i00ediately cease all worK in connection with the 'urchase Order. ,he V3N7OR shall then advise the +OH'AN? o/ any costs a11ertaining to said ter0ination. )uch costs shall not e.ceed the a0ount o/ the original 'urchase Order. ,he +OH'AN? reserves the right to ter0inate the 'urchase Order in whole or 1art, i/ the 1ro0ised delivery date is not e.ecuted within a reasonable 1eriod o/ ti0e.

"rea/2 &/, in the o1inion o/ the +OH'AN?, the V3N7OR breaches any o/ the ter0s and conditions o/ the 'urchase Order then the +OH'AN? shall advise the V3N7OR in writing o/ such breach and instruct the V3N7OR to re0edy such breach within days o/ said notice. )hould the V3N7OR /ail to re0edy, then the +OH'AN? shall be entitled, without 1re%udice to any other rights the +OH'AN? 0ay have in law, to cancel the 'urchase Order in whole or 1art.

%n.o05en/y an1 Dea-2 &/ the V3N7OR, being an individual, dies or being an individual or a ,rust is seIuestrated, /inally or 1rovisionally, or being a co01any or close cor1oration or any other cor1orate entity, is 1laced in liIuidation or under %udicial 0anage0ent, either /inally or 1rovisionally, then the 'urchase Order shall be considered to be de/aulted, and the +OH'AN? shall be entitled

Con+,1en-,a0,-y All details o/ the 'urchase Order, and the relevant 1ro%ect as a whole, shall be considered as con/idential, and shall not be i01arted to any third 1arty in any /or0 whatsoever without 1rior written authority o/ the +OH'AN?, e.1ecting that any necessary in/or0ation reIuired by a third 1arty /or e.ecution o/ the 'urchase Order 0ay be i01arted. @hilst 1er/or0ing duties associated with the 'urchase Order, the V3N7OR 0ay beco0e 1rivileged to certain in/or0ation that they would not have been e.1osed to in nor0al circu0stances. )uch in/or0ation shall re0ain con/idential and shall not be divulged in any way, 0eans or /or0 without the written consent o/ the +OH'AN?.

%n1u03en/e. No indulgences by the +OH'AN? in res1ect to any 1art o/ the 'urchase Order shall or shall be dee0ed to release the V3N7OR /ro0 its obligations in ter0s o/ the 'urchase Order, or constitute a waiver o/ +OH'AN? rights.

;2o0e A3reemen,he 'urchase Order and docu0ents, s1eci/ications and shi11ing docu0ents /or0ing 1art thereo/, constitutes the whole agree0ent between the V3N7OR and the +OH'AN? and no 0odi/ications shall be valid or binding unless incor1orated in a written docu0ent signed by the V3N7OR and an authorised o//icial o/ the +OH'AN?.

Su<-Con-ra/-or. All ter0s and conditions o/ the 'urchase Order shall be incor1orated by the V3N7OR in any agree0ent between the V3N7OR and its sub-contractors in such 0anner that all such ter0s and conditions shall be binding u1on the V3N7OR and the subcontractors.

Pa-en- R,32-. ,he V3N7OR hereby agrees that the +OH'AN? has the /ree right to 0aintain, re1air or re1lace any broKen or worn 1art o/ any 1atented article su11lied by the V3N7OR to the +OH'AN?. ,he V3N7OR shall inde0ni/y the +OH'AN? against any clai0 0ade /or in/ringe0ent o/ 1atent rights.

E-2,/a0 Con1u/,he V3N7OR is reIuired to act ethically and to co01ly with all local laws and regulations at all ti0es. 6y the sa0e toKen the +OH'AN? reIuires that all its e01loyees do liKewise. &n order to su11ort this the +OH'AN? has established a con/idential ethics hot line, with the toll /ree nu0ber /or this line being 0=00 >?> ?>?. ,he V3N7OR is welco0e to use this hot line as a vent to re1ort any ethical concerns that the V3N7OR 0ay have in ter0s o/ dealings with the +OH'AN?.
