IMPORTANT NOTICE
THIS END-USER LICENSE AGREEMENT CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER IN SECTION 14. BY INSTALLING, ACCESSING, OR USING ANY ANDROIDACY SOFTWARE, YOU AGREE TO RESOLVE DISPUTES THROUGH INDIVIDUAL ARBITRATION RATHER THAN COURT PROCEEDINGS OR CLASS ACTIONS.
1. Agreement and Scope
This End-User License Agreement (“EULA” or “Agreement”) is a legally binding agreement between you (“User,” “you,” or “your”) and Androidacy, LLC, a limited liability company organized under the laws of the State of Delaware (“Androidacy,” “we,” “us,” or “our”). This Agreement governs your installation, access, and use of all Androidacy-developed software, including but not limited to the Androidacy Module Manager (“AMM”), Font Manager, and any other applications, tools, browser extensions, command-line utilities, or software components developed and distributed by Androidacy (collectively, the “Software”), as well as any updates, patches, or new versions thereof.
This EULA applies specifically to the Software. Your use of the Androidacy website, Module Repository, Downloads Platform, and other Platform services is governed by the Androidacy Terms of Service, available at androidacy.com/terms/ (the “Terms of Service”). Your data is handled in accordance with the Privacy Policy, available at androidacy.com/privacy/.
This EULA is incorporated into and supplemental to the Terms of Service. In the event of a conflict between this EULA and the Terms of Service, the Terms of Service control unless this EULA expressly and specifically states otherwise with respect to a defined subject matter relating to Software licensing.
By installing, copying, or otherwise using the Software, you represent that you have read, understood, and agree to be bound by this EULA, the Terms of Service, and all policies incorporated therein. If you do not agree, you must not install or use the Software and must delete all copies in your possession.
2. Eligibility
You must meet the eligibility requirements set forth in Section 2 of the Terms of Service to use the Software. By installing or using the Software, you represent and warrant that you satisfy those requirements.
3. License Grant
3.1 Scope of License. Subject to the terms and conditions of this EULA, Androidacy grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on devices you own or control, solely for your personal, non-commercial use, unless you have received express written authorization from Androidacy for commercial use or developer integration.
3.2 Number of Installations. You may install and use the Software on a reasonable number of personal devices. This license does not permit mass deployment, distribution to third parties, or installation on devices you do not own or control.
3.3 Feature Access. Certain features of the Software may be available only to users with active paid Memberships or who have purchased access passes, as described in the Terms of Service and on the pricing page at androidacy.com/pricing/. This license does not entitle you to premium features beyond those available at your current access level.
3.4 Beta and Pre-Release Software. Androidacy may release versions of the Software designated as beta, preview, early access, or similar pre-release status (“Beta Software”). Beta Software is experimental, may contain errors or instability, and is provided without any warranty beyond the disclaimers already set forth in this EULA. Beta Software may be modified, suspended, or discontinued at any time without notice. Your use of Beta Software is entirely at your own risk, and you acknowledge that Beta Software may cause device instability, data loss, or other adverse effects.
4. Restrictions
4.1 Prohibited Conduct. You may not, directly or indirectly:
(a) copy, reproduce, distribute, sublicense, lease, lend, rent, sell, or otherwise transfer the Software or any rights therein to any third party;
(b) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent that applicable law expressly prohibits this restriction notwithstanding a contractual limitation;
(c) modify, adapt, translate, or create derivative works based on the Software;
(d) remove, obscure, or alter any proprietary notices, labels, trademarks, or copyright markings on or in the Software;
(e) circumvent, disable, or interfere with any security features, license verification mechanisms, access controls, download restrictions, CAPTCHA systems, or other technical protection measures in the Software;
(f) use the Software to circumvent any monetization mechanism, including but not limited to ad-blocking measures that interfere with the functioning of the Software beyond standard browser-level ad blocking, subscription verification, or rate-limiting features;
(g) use automated scripts, bots, or similar tools to interact with the Software in a manner that circumvents intended usage limitations or inflates metrics;
(h) use the Software for any purpose that violates applicable law or regulation; or
(i) assist, encourage, or enable any third party to do any of the foregoing.
4.2 Open Source Carve-Out. The restrictions in Section 4.1(b) and 4.1(c) apply solely to Androidacy’s proprietary Software code. They do not restrict any rights you may have under applicable law with respect to software interoperability, nor do they restrict the use, study, modification, or redistribution of third-party open source modules obtained through the Software, which are governed by their own respective licenses.
4.3 API Restrictions. Any programmatic interfaces exposed by the Software for communication with Androidacy’s servers are for the Software’s internal use only. Access to such interfaces by third-party applications, scripts, or services requires separate written authorization from Androidacy, except where Androidacy has published a public API and accompanying documentation expressly permitting such use.
5. Root Modification Acknowledgment
CERTAIN FUNCTIONALITY OF THE SOFTWARE, INCLUDING MODULE MANAGEMENT AND INSTALLATION FEATURES, IS DESIGNED FOR USE WITH ANDROID DEVICES ON WHICH ROOT ACCESS HAS BEEN ENABLED THROUGH FRAMEWORKS SUCH AS MAGISK OR KERNELSU. ROOT MODIFICATIONS, INCLUDING THE INSTALLATION OF ANY MODULE MANAGED THROUGH THE SOFTWARE, CAN AND DO RESULT IN PERMANENT DEVICE DAMAGE, DATA LOSS, DEVICE INSTABILITY, SECURITY VULNERABILITIES, AND VOIDING OF MANUFACTURER AND CARRIER WARRANTIES.
ANDROIDACY DOES NOT DEVELOP THE THIRD-PARTY MODULES MANAGED OR DISTRIBUTED THROUGH THE SOFTWARE. BY USING THE SOFTWARE TO INSTALL, MANAGE, OR INTERACT WITH ROOT FRAMEWORK MODULES, YOU EXPRESSLY ACKNOWLEDGE AND ASSUME ALL RISKS ASSOCIATED WITH DEVICE MODIFICATION, INCLUDING ANY RESULTING DEVICE DAMAGE, DATA LOSS, OR SYSTEM INSTABILITY. ANDROIDACY SHALL BEAR NO LIABILITY FOR ANY SUCH HARM.
Not all features of the Software require root access. Where root access is a prerequisite for a particular feature, this will be evident from the nature of the feature.
6. Intellectual Property
6.1 Ownership. The Software, including all code, design, graphics, user interfaces, logos, and documentation, is owned by or licensed to Androidacy and is protected by United States and international copyright, trademark, trade secret, and other intellectual property laws. This EULA does not transfer any ownership interest in the Software to you. All rights not expressly granted herein are reserved by Androidacy.
6.2 Trademarks. “Androidacy,” “AMM,” “Androidacy Module Manager,” “Font Manager”, or our other owned and developed apps’ names and associated logos are trademarks of Androidacy, LLC. You may not use these marks without prior written permission.
6.3 Third-Party Components. The Software may incorporate third-party libraries, frameworks, or components subject to their own license terms. A list of such components and their applicable licenses is available within the Software or upon request. Nothing in this EULA restricts your rights under the licenses governing such third-party components.
6.4 Feedback. If you submit ideas, suggestions, bug reports, or feedback regarding the Software (“Feedback”), you grant Androidacy a perpetual, irrevocable, worldwide, royalty-free license to use such Feedback for any purpose without obligation of confidentiality, attribution, or compensation.
7. Data Collection and Privacy
7.1 Data Practices. The Software may collect certain data as described in the Privacy Policy, including but not limited to device information, usage analytics, crash reports, and account-related data. By using the Software, you consent to such collection and processing as described in the Privacy Policy.
7.2 Third-Party Analytics and Advertising. The Software may integrate third-party analytics and advertising services. These services operate under their own privacy policies. Premium Membership tiers may reduce or eliminate advertising, as described on the pricing page.
7.3 AI-Assisted Features. Certain features of the Software may utilize artificial intelligence or machine learning processing, including module recommendations. Where AI processing services are used, Androidacy configures such services to disable the use of your data for model training or improvement to the extent such controls are made available by the service provider. Personally Identifiable Information, also known as PII, is never knowingly submitted to the providers by Androidacy. AI-assisted features are provided for informational and convenience purposes only and do not constitute professional advice or endorsement of any particular module.
7.4 No Sensitive Data. You should not input sensitive personal information (such as financial account numbers, government-issued identification numbers, or health information) into any field or feature of the Software unless the feature is specifically designed and labeled for that purpose.
8. Updates and Modifications
8.1 Software Updates. Androidacy may release updates, patches, bug fixes, or new versions of the Software from time to time. Updates may be delivered automatically through app store update mechanisms or through the Software itself. You acknowledge that failure to install updates may result in reduced functionality, security vulnerabilities, or incompatibility with current Platform services.
8.2 Feature Changes. Androidacy reserves the right to modify, add, or remove features of the Software at any time. Removal of features does not entitle you to any refund, credit, or compensation unless expressly provided under the Terms of Service or the Returns and Refunds Policy.
8.3 Compatibility. Androidacy does not guarantee that the Software will be compatible with all devices, operating system versions, or configurations. Compatibility requirements may change with updates.
9. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANDROIDACY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
ANDROIDACY DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANDROIDACY DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ANY DEFECTS WILL BE CORRECTED.
ANDROIDACY DOES NOT WARRANT THE SAFETY, QUALITY, LEGALITY, OR FUNCTIONALITY OF ANY THIRD-PARTY MODULE OR CONTENT ACCESSED THROUGH THE SOFTWARE.
10. Limitation of Liability
10.1 Exclusion of Consequential Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ANDROIDACY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS EULA, THE SOFTWARE, OR YOUR USE OF OR INABILITY TO USE THE SOFTWARE, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY, AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 Aggregate Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANDROIDACY’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED DOLLARS (USD $100.00); OR (B) THE TOTAL AMOUNTS PAID BY YOU TO ANDROIDACY FOR THE SOFTWARE OR RELATED MEMBERSHIPS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10.3 Essential Basis. YOU ACKNOWLEDGE THAT THE LIMITATIONS IN THIS SECTION 10 REFLECT A REASONABLE ALLOCATION OF RISK AND ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN ANDROIDACY AND YOU.
10.4 Exceptions. Nothing in this Section 10 limits Androidacy’s liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be limited or excluded under applicable law.
11. Indemnification
You agree to defend, indemnify, and hold harmless Androidacy, LLC and its members, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of this EULA; (b) your use of the Software; (c) your violation of any applicable law or regulation; (d) your violation of any third-party right; or (e) any damage to a device or loss of data resulting from your use of the Software in conjunction with root modifications. This indemnification obligation survives termination of this EULA.
12. Term and Termination
12.1 Term. This EULA is effective upon your first installation or use of the Software and remains in effect until terminated.
12.2 Termination by You. You may terminate this EULA at any time by uninstalling the Software and deleting all copies in your possession.
12.3 Termination by Androidacy. Androidacy may terminate this EULA immediately, with or without notice, if you breach any term of this Agreement. Androidacy may also terminate or suspend your access to the Software in connection with account suspension or termination under the Terms of Service.
12.4 Effect of Termination. Upon termination, your license to use the Software ceases immediately. You must uninstall the Software and destroy all copies. Sections 5, 6, 9, 10, 11, 14, and 15, and any other provisions that by their nature should survive, shall survive termination.
13. Export Controls
You agree to comply with all applicable United States export laws and regulations, including the Export Administration Regulations and sanctions programs administered by the Office of Foreign Assets Control. You represent and warrant that you are not located in, or a national or resident of, any country subject to a U.S. government embargo or designated as a “terrorist supporting” country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
14. Dispute Resolution and Arbitration
All disputes arising out of or relating to this EULA or the Software are subject to the dispute resolution and binding arbitration provisions set forth in Section 26 of the Terms of Service, which are incorporated herein by reference. This includes the class action waiver, the requirement for informal resolution prior to arbitration, the small claims court exception, and the one-year limitation period for bringing claims.
15. Governing Law
This EULA shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Subject to the arbitration provision in Section 14, any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to personal jurisdiction and venue in such courts.
16. Google Play Additional Terms
If you obtained the Software through the Google Play Store, you acknowledge the following:
(a) This EULA is between you and Androidacy only, not with Google LLC. Androidacy, not Google, is solely responsible for the Software and its content.
(b) Google has no obligation to provide maintenance or support services for the Software.
(c) In the event of the Software’s failure to conform to any applicable warranty, your sole remedy is a refund of the purchase price (if any) paid through Google Play, subject to Google’s refund policies. Google has no other warranty obligation with respect to the Software.
(d) Google is not responsible for addressing any claims by you or any third party relating to the Software or your possession and use of the Software.
(e) In the event of a third-party claim that the Software infringes a third party’s intellectual property rights, Androidacy, not Google, is solely responsible for the investigation, defense, settlement, and discharge of such claim to the extent required by this EULA.
(f) Google and its subsidiaries are third-party beneficiaries of this EULA. Upon your acceptance, Google has the right to enforce this EULA against you as a third-party beneficiary.
17. Amendment
Androidacy reserves the right to modify this EULA at any time. For material changes, Androidacy will provide notice by publishing the updated EULA on the Platform and updating the “Last Updated” date. For changes that materially affect your rights, Androidacy will make reasonable efforts to provide additional notice through the Software or by email to the address associated with your account. Your continued use of the Software after the effective date of any modification constitutes acceptance of the modified EULA. If you do not agree, you must stop using the Software and uninstall all copies.
18. Severability
If any provision of this EULA is held by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, struck. The remaining provisions shall continue in full force and effect.
19. Waiver
Androidacy’s failure to enforce any provision of this EULA in any instance shall not constitute a waiver of its right to enforce such provision in the future. No waiver shall be effective unless made in writing and signed by an authorized representative of Androidacy.
20. Assignment
You may not assign or transfer any rights or obligations under this EULA without Androidacy’s prior written consent. Androidacy may freely assign this EULA in connection with a merger, acquisition, sale of assets, or by operation of law.
21. Entire Agreement
This EULA, together with the Terms of Service, Privacy Policy, and all policies incorporated by reference in the Terms of Service, constitutes the entire agreement between you and Androidacy with respect to the Software and supersedes all prior agreements, representations, and understandings, whether written or oral, relating to the Software.
