This paper discusses a new model of Islamic code of ethics for directors. Several corporate scandals and local (example Transmile and Megan Media) and overseas corporate (example Parmalat and Enron) collapses show that the current corporate governance and regulatory reform are unable to prevent these events from recurring. Arguably, the code of ethics for directors is under research and the current code of ethics only concentrates on binding the work of the employee of the organization as a whole, without specifically putting direct attention to the directors, the group of people responsible for the performance of the company. This study used a semi-structured interview survey of well-known Islamic scholars such as the Mufti to develop the model. It is expected that the outcome of the research is a comprehensive model of code of ethics based on the Islamic principles that can be applied and used by the company to construct a code of ethics for their directors.

The purpose of this paper is threefold. First, it is to highlight corporate scandals in Malaysia. Second, it is to discuss major causes of these scandals. Third, it is to recommend possible actions and preventive measures to curb these scandals from the Islamic point of view. On the whole, the paper will motivate researchers to initiate and commence research into Islamic ethics and governance.

It has always been a core of hundreds of discussion, books, Research Papers and other manuscripts, the code of Organizational code of conduct and its distinct boundaries with respect to Western social values in close comparison with Islamic code of moral practices. In fact the fundamental philosophy behind these two conventional and peculiar schools of thought is very different and distinct in its very nature and intrinsic focus. The fundamental emphasis of this paper is to encircle, envelop and ensemble relevant ideas pertaining to the challenges of Islamic ethics with the Managerial traits in the very right perspective of an Organization, running beneath the banner of comprehensive Islamic Code of Conduct. In order to establish an inclusive understanding of Ethics in the Islamic perspective, it is indispensable to begin with its conceptual and philosophical definition. The most important above all is to look into how we can improve the challenges of implementing the ethics of Islam with managerial traits and the performance of organization.

The paper is dedicated to two main issues, namely (1) the representation of general Islamic ethics, the analysis of its specific methodology of moral validation by referring to the Qur'an and Sunna, and its interconnectivity with the Islamic law – Shari’a, as well as to (2) presenting Islamic managerial ethics as a derivative from the general Islamic ethics when it comes to both building moral arguments and propagating the proper moral behavior by promoting moral virtues and normatively analyzing what is right and wrong in the particular business situation. Among the used methods, there was content analysis, comparable analysis, inference, and the evolution of the normative theories. Then, the very Islam-specific confluence of ethics and law is discussed. These data are presented and analyzed as a required context for proper understanding of applied ethics in Islam, and in the case of this paper – Islamic managerial ethics.

The purpose of this paper is to explore the director’s work ethics particularly on Islamic perspectives and prophetic character towards sustaining the performance of the Islamic business organisations. The paper highlights the corporate scandals that occurred in Malaysia. Then, it examines and reviews prior studies on directors’ work ethics, ethics from religious viewpoint and Islamic work ethics. Next, it also discusses the directors’ work ethics based on prophetic characters and present a theoretical framework for directors’ work ethics that applicable in modern business activities. This incident has left scholars and managers asking what role they might have played to curb these ethical scandals and what role they can play in the solutions. Scholar and managers collectively have responded to the ethical challenges that we face in organizational life. Departing from the Islamic perspectives on ethics, this paper develops a conceptual framework for ethical decision making in Islamic financial institution. While making use of the similarities between the scientific method and the Islamic jurisprudence method, the framework is developed by means of argumentation and reasoning to integrate Sharia doctrines with the PDCA cycle as a managerial tool. The framework can help overcoming the methodological deficiencies in measuring ethical performance by focusing on the process of the ethical decision making that leads to the end results of the organisational behaviour rather than the end results themselves.
