End User License and Services Agreement – The Center for Case Management, Inc. 

This End User License and Services Agreement (EULSA) is a binding agreement between the entity identified on the Order Form (End User) and the Center for Case Management, Inc. (CFCM) and governs the right to the Services (as defined below) and the limited right to use the CARTBoard®1 application (including all related documents) which shall be customized to the needs of the End User’s organization (the Application). Except as set forth in this Agreement, the Application is licensed, not sold, to End User. 

  1. Services. CFCM will install the Application into the End User’s current hardware and software environment (the “Services”)
  2. License Grant. Subject to the terms of this EULSACFCM grants End User a limited, non-exclusive, non-sublicensable and nontransferable license to use the Application for Non-Commercial Use and strictly in accordance with this EULSA. Non-Commercial Use means use for End User’s internal business purposes onlyEnd User may permit its authorized employees, representatives, and contractors (the “Representatives”) to use the Application on behalf of End User, provided that End User: (a) is responsible for ensuring that any such Representatives comply with this EULSA and (b) shall be and remain liable for any breach of this EULSA by any of its Representative and for any acts or omissions of its Representatives under this EULSA.
  3. License Restrictions. End User shall not, and shall not permit any other person or entity, including End User’s Representatives, to:
    (a.) copy the Application, in whole or in part, except as and solely to the extent expressly set forth in this EULSA; 
    (b.) modify, translate, adapt, or otherwise create derivative works or improvements, whether or not patentable, of the Application, in whole or in part; 
    (c.) reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Application or any part thereof;
    (d.) remove, delete, alter, or obscure any trademarks or any copyright, trademark, patent, or other intellectual property or proprietary rights notices from the Application, including any copy thereof; 
    (e.) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Application, or any features or functionality of the Application, to any third party for any reason, including by making the Application available on a network where it is capable of being accessed by more than one device at any time; 
    (f.) use the Application in any manner or for any purpose that infringes, misappropriates, or otherwise violates the intellectual property rights or other rights of person or entity, or that violates applicable law or the terms and conditions of this EULSA; 
    (g.) use the Application in or in connection with the design, construction, maintenance, operation, or use of any hazardous environments, systems, or applications, any safety response systems or other safety-critical applications, or any other use or application in which the use or failure of the Application could lead to personal injury or severe physical or property damage 
    (h.) transmit, upload, introduce, or propagate any virus, Trojan horse, worm, bomb, corrupted file and/or similar malicious or destructive device, code, or data in connection with the Application, and/or attempt to gain unauthorized access to, interfere with, disrupt, or degrade the integrity, security, or performance of the Application, including by organizingparticipating in, facilitating, or otherwise being involved in any way in an attack on or against the Application; or
    (i.) use the Application for purposes of: (i) benchmarking or competitive analysis of the Application; (ii) developing, using, or providing a competing application or software product or service; or (iii) any other purpose that is to CFCM‘s detriment or commercial disadvantage. 
  4. Ownership.
    (a.) End User acknowledges and agrees that, as between End User and CFCM, CFCM and its licensors are and will remain the sole and exclusive owner of all right, title, and interest in and to the Application and all Work Product, including all intellectual property rights therein, subject to the limited license granted in Section 2.   In addition, except for the express licenses granted herein and except as set forth in Section 4(c) below, the End User acknowledgeand agrees that all right, title and interest in and to any Work Product shall be the sole and exclusive property of CFCM, and the End User shall have no right, title and interest therein.  As used herein, “Work Product” means (i) any technology, documentation, software, procedures, designs, inventions, methodologies, techniques, discoveries, information, knowledge, know-how, show-how, benchmarks, algorithms, models, best practices, and works of authorship that are developed, conceived, or introduced by CFCM in the course of CFCM performing Services, whether acting alone or in conjunction with another person or entity, (ii) any and all registered and unregistered rights granted, applied for, or otherwise not or hereafter in existence under or related to any patent, copyright, trademark, trade secret, database protection, or other intellectual property rights laws, and all similar or equivalent rights or forms of protection, in any part of the world, in connection with all items set forth in (i) herein, and (iii) any division, continuation, modification, enhancement, derivative work, or improvement to, or license of any of the foregoing, whether or not developed during the term of this EULSA. 
    (b.) End User acknowledges and agrees that the Application is provided under license, and not sold, to End UserExcept as set forth in (c) below, End User does not acquire any ownership interest in the Application under this EULSA, or any other rights thereto other than to use the Application in accordance with the license granted, and subject to all terms, conditions, and restrictions, under this EULSAAll rights not expressly granted to End User under this EULSA are reserved by CFCMIn addition, CFCM and its licensors may use any feedback End User provides in connection with End User’s use of the Application as part of CFCM’s or its licensor’s business operations.
    (c.) Notwithstanding Sections 4(a) and (b), End User shall be the sole and exclusive owner of all data produced by the Application and any and all derivatives of the data.  
  5. Use with ThirdParty Products. CFCM represents and warrants to the End User that the Application, as contemplated in the Order Form and as of the effective date of this EULSA, is capable of interoperating with the third-party software or products identified on the applicable Order Form, ; provided that CFCM does not warrant: (a) continued compatibility following updates or modification to the Application or the third-party software or product; or (b) that such interoperability will be uninterrupted or error-free. End User is solely responsible for obtaining and complying with any licenses required to use such third-party software and products, and CFCM makes no representation or warranty regarding End User’s right to use any third-party software or the ongoing availability of such third-party software or products.  End User represents and warrants to CFCM that it has disclosed in the Order Form all software applications (third-party and proprietary) that will be integrated with the Services.
  6. Responsibility for Use of the Application. End User is responsible and liable for all uses of the Application after its implementation on the End User’s infrastructure. Specifically, and without limiting the generality of the foregoing, End User is responsible and liable for all actions and failures to take required actions with respect to the Application by its Representatives or by any other person to whom End User or a Representative may provide access to or use of the Application, whether such access or use is permitted by or in violation of thiEULSA. End User will take all reasonable efforts to make all Representatives aware of this  EULSA’s provisions as applicable to such Representative and shall cause such Representative to comply with such provision. 
  7. Collection and Use of End User Information. In certain situations, End User may allow CFCM and its licensors to access and process certain information about End User’s use of the Application, which may be used by CFCM and its licensors to improve and enhance the Application. CFCM will use any such information in accordance with applicable privacy and data protection laws, and its Privacy Policy.
  8. Updates. Except as may be otherwise agreed in writing, CFCM shall be under no obligation to develop and provide Application updates or any upgrades, bug fixes, patches, other error corrections, and/or new features (collectively, including related documentation, Updates). End User agrees that CFCM has no obligation to provide any Updates or to continue to provide or enable any particular features or functionality. 
  9. Warranties.
    9.1 Limited Warranty of Application. For a period of twelve (12) months from the date of installation, CFCM warrants that  when operated in accordance with the EULSA, the Order Form, any documentation and specifications, the Application shall, without material error, perform the functions as set forth in the Order Form and the associated specifications. 
    9.2 Services Warranty.  CFCM warrants that the Services will be performed in a competent, workmanlike and professional manner by personnel with sufficient training and experience commensurate with their roles.
    9.3 End User Warranty.  End User represents (a) that it is an entity duly organized and validly existing in its jurisdiction of incorporation; (b) accepts this EULSA and that it is legally bound by its terms (c) that End User has the full right, power and authority under its existing software and hardware infrastructure and related agreements thereto, and has all consents and approvals necessary, in each case for CFCM and WellSky to implement the Application hereunder and the implementation of the Application will not conflict with, violate or breach or constitute a default under any existing software license agreements, contracts, or other agreements to which End User is a party; and (e) that End User has fully disclosed to CFCM and WellSky all information that is necessary in order for CFCM and WellSky to fully and properly perform the Services hereunder.
    9.4 Remedy. End User’s sole and exclusive remedy for any breach of the limited warranty set forth in Section 9 of this EULSA shall be to notify CFCM or WellSky in writing of the applicable non-conformity, in which case, CFCM shall following its receipt of such notice,  use commercially reasonable efforts to correct such non-conformity by repairing the Application or reperforming the Services. Notwithstanding the foregoing, CFCM and WellSky shall not be responsible for any non-conformity which arises as a result of (a) any act or omission by End User or any of its Representatives, including a failure to use the Application and Services in conformance with the documentation or applicable law, or (b) any failure of any component of hardware, third- party materials or solutions, or any of End User’s supplied software, equipment, or other third-party materials or solutions.  
  10. Effect of Termination. On expiration or termination of this EULSA for any reason, all rights, licenses and authorizations granted to End User hereunder will immediately terminate and End User will (a) immediately cease and cause to be ceased all use of and other activities with respect to the Application; (b) within thirty (30) days deliver to CFCM or, destroy and permanently erase from all devices and systems End User directly or indirectly controls, the Application and any CFCM confidential information, including all documents, files, and tangible materials (and any partial and complete copies) containing, reflecting, incorporating, or based on any of the foregoing, whether or not modified or merged into other materials; and (c) upon CFCM’s request, certify to CFCM in a signed instrument that it has complied with the requirements of this Section
  11. Disclaimer of Warranties. EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE APPLICATION AND THE SERVICES ARE PROVIDED TO END USER “AS IS” AND ON AN “AS AVAILABLE” BASIS AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, CFCM, WELLSKY, ON THEIR OWN BEHALF AND ON BEHALF OF THEIR AFFILIATES AND ITS AND THEIR RESPECTIVE LICENSORS AND SERVICE PROVIDERS, EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE APPLICATION, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE. WITHOUT LIMITATION TO THE FOREGOING, CFCM and WELLSKY PROVIDES NO WARRANTY OR UNDERTAKING, AND MAKES NO REPRESENTATION OF ANY KIND THAT THE APPLICATION WILL MEET END USER REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE, OR WORK WITH ANY OTHER SOFTWARE, APPLICATIONS, SYSTEMS, OR SERVICES, OPERATE WITHOUT INTERRUPTION, MEET ANY PERFORMANCE OR RELIABILITY STANDARDS, OR BE ERROR-FREE, OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED.
    SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF OR LIMITATIONS ON IMPLIED WARRANTIES OR THE LIMITATIONS ON THE APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO END USER.
  12. Limitation of Liability. END USER, WELLSKY AND CFCM’S MAXIMUM LIABILITY FOR DAMAGES TO THE OTHER PARTY FOR ANY CAUSE WHATSOEVER ARISING UNDER OR RELATED TO THE EULSA IS LIMITED TO THE FEES PAID UNDER THE ORDER FORM FOR THE AFFECTED SERVICES OR APPLICATION DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO A CLAIM. NEITHER WELLSKY, CFCM, NOR  THEIR LICENSORS SHALL BE LIABLE FOR ANY SPECIAL, CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, PUNITIVE DAMAGES, OR LOST PROFITS BASED UPON BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY,
    EVEN IF ADVISED OF THE POSSIBILITY 
    OF SUCH DAMAGES, OR FOR ANY CLAIM BY A THIRD- PARTY AGAINST END USER. WELLSKY AND CFCM DISCLAIMS LIABILITY ARISING OUT OF OR RELATED TO DATA PROCESSED BY END UDER’S USE OF ANY VIDEO, EMAIL, TEXTING, AND/OR RELATED TELEPHONY SERVICES. WELLSKY AND CFCM SHALL NOT BE DEEMED TO BE ENGAGED, DIRECTLY OR INDIRECTLY, IN THE PRACTICE OF MEDICINE OR THE DISPENSING OF MEDICAL SERVICES AND DISCLAIMS ANY RESPONSIBILITY FOR ACTIONS OF END USER OR THEIR CARE PROVIDERS WHICH MAY RESULT IN ANY LIABILITY OR DAMAGES DUE TO MALPRACTICE, FAILURE TO WARN, NEGLIGENCE, OR ANY OTHER BASIS. SERVICES, ADVANCED TECHNOLOGIES (OR ANY RESULTS), THIRD-PARTSOLUTIONS, OR RESULTING RECOMMENDATIONS OR GUIDANCE ARE NOT A SUBSTITUTE FOR END USER’S PROFESSIONAL JUDGMENT.
  13. Indemnification.
    (a.) End User agrees to indemnify, defend, and hold harmless CFCM, WellSky and their officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys’ fees, arising out of a third party claim, resulting from or relating to End User’s and its Representative’s use or misuse of the Application or End User’s breach of this EULSA.
    (b.) CFCM agrees to indemnify, defend, and hold harmless End User and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys’ fees, to the extent to the extent arising out of any claim that the Application infringes any currently existing United States patent or copyright, or misappropriates any trade secret, of any third-party. If End User’s use of the Application and the Services is finally enjoined, CFCM shall, at its sole option and expense, and as End User’s sole and exclusive remedy, either: (a) secure for End User the right to continue to use the Application; or (b) replace, modify or correct such Application to avoid such infringement.  CFCM’s indemnification obligations shall not apply if to any third-party claim that result from: (i) modifications of the Applications made or suggested by End User  or third parties;; or (ii) use of the application in violation of this EULSA, applicable law, or not in conformance with the Order Form and any documentation relating to the Application. 
  14. Export Regulation. The Application may be subject to US export control laws, including the Export Control Reform Act and its associated regulations. End User shall not, directly or indirectly, export, re-export, or release the Application to, or make the Application accessible from, any jurisdiction or country to which export, re-export, or release is prohibited by law, rule, or regulation. End User shall comply with all applicable federal laws, regulations, and rules, and complete all required undertakings (including obtaining any necessary export license or other governmental approval), prior to exporting, re-exporting, releasing, or otherwise making the Application available outside the US.
  15. Regulatory Compliance.
    (a.) Discounts. End User is reminded that if the purchase includes a discount or loan, End User may be required to fully and accurately report such discount or loan on cost reports or other applicable claims for payment submitted under any federal health care program, including but not limited to Medicare and Medicaid, as required by federal law  see 42 CFR 1001.952 (h). 
    (b.) State Privacy Laws. The parties agree that certain state privacy laws, including the California Consumer Privacy Act under Cal. Civ. Code § 1798 et seq. (“CCPA”) may be applicable to the EULSA. If applicable, CFCM shall be deemed a “service provider” under the CCPA or other similar law if CFCM receives the “personal information” of any “consumer” for “processing” on End User’s behalf (or similar terms as defined under such other state privacy laws). 
  16. Severability. If any provision of this EULSA is illegal or unenforceable under applicable law, the remainder of the provision will be amended to achieve as closely as possible the effect of the original term and all other provisions of this EULSA will continue in full force and effect; provided, however, that if any fundamental term or provision of this EULSA, including without limitation provisions set forth in Sections 1, 2 and 5, are invalid, illegal, or unenforceable, the remainder of this EULSA shall be unenforceable.
  17. Governing Law. This EULSA shall be governed by the laws of the Commonwealth of Massachusetts, both as to interpretation and performance, regardless of the choice of law rules of that or any other state.
  18. Limitation of Time to File Claims. ANY CAUSE OF ACTION OR CLAIM END USER MAY HAVE ARISING OUT OF OR RELATING TO THIS EULSA OR THE APPLICATION AND SERVICES MUST BE COMMENCED WITHIN THE EARLIER OF TWO (2) YEARS AFTER THE CAUSE OF ACTION ACCRUES, OR (B) the statute of limitations for such cause of action; OTHERWISE SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

    (1) This trademark is owned by The Center for Case Management, Inc., a Massachusetts corporation.
