LICENSE AGREEMENT / TERMS AND CONDITIONS OF USE
Please read this license agreement carefully, as it governs your relationship with WSC 8034 OPCO 1 LLC. It sets forth important legal obligations between you and WSC 8034 OPCO 1 LLC, and it defines the scope of what you can do if you have a disagreement with WSC 8034 OPCO 1 LLC.
We stand by our products. Prevent Direct Access, along with our other products, has been designed, developed, and tested in order to meet the personal and business demands of our clients, and we expect that it will perform to our clients’ expectations in most environments. However, because every client’s needs are different, we cannot and do not guarantee that Prevent Direct Access or our other products will work in every environment or be compatible with plug-ins, extensions, or themes not developed by us.
If you find that Prevent Direct Access does not suit your needs, or if you are unsatisfied with it or any of our software, this agreement sets forth the extent and nature of your and our obligations with respect to troubleshooting, support, and refunds. For most users, problems can be resolved in less than a day through our support service.
1. DEFINITIONS
1.1. In this agreement WSC 8034 OPCO 1 LLC may also be referred to as “we” or “us”.
1.2. “You” means you, along with your agents, employees, assigns, successors in interest, beneficiaries, and heirs.
1.3. “Software” means Prevent Direct Access and all extensions, add-ons, or related products developed by WSC 8034 OPCO 1 LLC, all of which are licensed under the GPL with additional permissions as described in Section 3.
1.4. “GPL” means the GNU General Public License v3.0 (http://www.gnu.org/licenses/gpl-3.0.txt).
1.5. This agreement as a whole may be referred to as the “Agreement” or as the “Terms and Conditions”.
1.6. “Transfer” means assigning your Subscription benefits to another party who will receive support and updates under your purchased license, or any instance in which a Software license is purchased for an end-user who is not the purchaser and for whom the purchaser does not provide ongoing support.
1.7. “Subscription” means a license purchased from WSC 8034 OPCO 1 LLC, which includes a product license key and access to Premium Extensions, upgrades, and support for the Software to which it applies.
1.8. “Renewal Rate” means the purchase price for the product as indicated by preventdirectaccess.com on the date and time of original purchase, unless we provide 30 days advance notice of a pricing change for your renewal.
1.9. “Support” or “Support Services” means the actions of us through our staff, in communication with you, to troubleshoot issues you may experience when using the Software during the term of an active Subscription.
1.10. “Commercially Reasonable Efforts” means efforts and resources comparable to those that would be used by similar software companies operating in the ordinary course of business, considering factors such as issue severity, customer impact, and available resources. This includes dedicating reasonable staff time and technical resources to troubleshoot issues but does not require unlimited time, custom development, or extraordinary measures.
1.11. “Dependency” means any software without which the Software cannot function and any developer or controller of such software.
1.12. “Event of Force Majeure” means any event beyond our control which prevents us from complying with our obligations under this Agreement, including but not limited to an act of God such as a natural disaster, the threat, declaration, or consequence of war, a riot, strike, or disorder unless solely limited to our employees, or any act of terrorism.
1.13. “Material Changes” means modifications to this Agreement that substantially affect your rights, obligations, or costs, including changes to pricing, support services, refund policies, or dispute resolution procedures.
1.14. “Business Day” means any day other than Saturday, Sunday, or a public holiday in Singapore.
1.15. “Consumer” means an individual who purchases the Software primarily for personal, family, or household purposes, and not for resale or business use exceeding personal use.
2. AGREEMENT
By downloading, installing, or using the Software and by using this site you agree to be bound by this Agreement. If you disagree with any of these Terms and Conditions, do not use our Software or services.
3. SOFTWARE LICENSE
3.1 GNU General Public License
Prevent Direct Access and all extensions are licensed under the GNU General Public License v3.0 (GPL), available at http://www.gnu.org/licenses/gpl-3.0.txt.
Under the GPL, you have the right to:
- Use the Software for any purpose
- Study and modify the Software
- Distribute copies of the Software
- Distribute modified versions of the Software
These GPL rights are perpetual and cannot be revoked.
3.2 Additional Permissions Under GPL Section 7
In addition to the GPL, this Agreement includes additional permissions and terms as permitted under Section 7 of the GPL. These additional terms govern:
- Subscription services (updates and support)
- License key access and activation
- Commercial support services
- Permitted usage terms for Subscriptions
3.3 Subscription Services (Not Part of GPL)
When you purchase a Subscription from WSC 8034 OPCO 1 LLC, you receive access to services that are separate from the GPL-licensed Software itself:
- Automatic updates delivered through license key activation
- Priority support services
- Access to download premium extensions from our servers
- License key management and validation
Important distinction: The GPL grants you rights to the Software itself (code you receive). Your Subscription grants you access to our services (updates, support, downloads). You may use, modify, and redistribute the Software under GPL terms, but Subscription services are governed by this Agreement.
3.4 Subscription Terms
Your Subscription is subject to the following additional terms:
- Subscription services are non-transferable without express written consent
- License keys are limited to the number of sites specified in your Subscription
- Sharing license keys or Subscription access with unauthorized parties terminates your Subscription services
- You may not resell or redistribute access to our update/support services
3.5 Redistribution Rights
You may redistribute the Software (code) under GPL terms. However:
- Recipients do not automatically receive your Subscription services (updates, support, license key access)
- You must comply with GPL requirements (include source code, license notices, etc.)
- We provide updates and support only to customers with active Subscriptions purchased from WSC 8034 OPCO 1 LLC
- If you redistribute the Software, you agree to make clear that official updates and support come only from WSC 8034 OPCO 1 LLC
3.6 Modifications
You may modify the Software under GPL terms. If you redistribute modified versions:
- You must comply with all GPL requirements
- You must clearly mark your modifications
- Modified versions are not eligible for official support from WSC 8034 OPCO 1 LLC
- You may not imply that modified versions are official WSC 8034 OPCO 1 LLC releases
4. SUBSCRIPTIONS
Terms herein that govern Subscriptions are in addition to and cumulative with the other terms in this Agreement.
4.1 Subscription Duration and Renewal
Subscriptions are valid for one year from the date of purchase. A valid and active license key is required for automatic upgrades and support for purchased premium extensions.
At the end of each year, if you have not canceled your Subscription at least seven (7) days before the renewal date, your Subscription will automatically renew at the Renewal Rate (as defined in Section 1.8).
You may cancel automatic renewal at any time by following the procedure at preventdirectaccess.com or by contacting our support team. Cancellation will take effect at the end of your current subscription period and will terminate your eligibility for any discounts or other benefits that may be associated with your Subscription after that period ends.
4.2 Subscription Transfers
Your Subscription (which includes support services, automatic updates, license keys, and download access) is non-transferable except with express written consent of WSC 8034 OPCO 1 LLC. “Transfer” means assigning your subscription benefits to another party.
Note: This does not restrict your GPL rights to redistribute the Software itself (the code). You may redistribute the Software under GPL terms, but your Subscription services (updates, support, license key) cannot be transferred without consent.
Unauthorized transfer of your Subscription services will result in immediate termination of access to updates, support services, and license key functionality.
4.3 License Key Usage
License keys provide access to Subscription services (not the GPL rights themselves). Each license key is limited to the number of sites specified in your Subscription. You must:
- Activate your license only on authorized sites
- Deactivate licenses when moving or removing sites
- Not share license keys with unauthorized parties
- Maintain accurate site information in your account
License keys control access to our services (updates, support), not your GPL rights to use the Software.
4.4 Expiration and Non-Renewal
When your Subscription expires or if you choose not to renew:
- Your license key will be automatically deactivated
- Access to automatic updates will cease immediately
- Support Services will no longer be available
- You will not be able to download new versions or updates from our servers
- Any premium features that require license validation may cease to function
- You retain the right to continue using the version of the Software you have already installed under GPL terms
- You may modify the Software you possess for your own use
- You may not access our servers or services to obtain updates without an active Subscription
4.5 Grace Period
We may provide a grace period of up to seven (7) days after expiration before deactivating services, but this is at our sole discretion and should not be relied upon.
5. SOFTWARE UPDATES
5.1 Updates Under GPL
As GPL-licensed software, the Software can be updated and distributed by anyone under GPL terms. However, official updates from WSC 8034 OPCO 1 LLC are provided as a Subscription service.
5.2 Subscription Update Services
If you have a valid and active Subscription, you will receive official updates from WSC 8034 OPCO 1 LLC for the duration of your Subscription. Lifetime licenses include unlimited and lifetime updates.
Updates will be delivered automatically from the WordPress dashboard if your license key is active under Prevent Direct Access → Settings → Licenses in your WordPress dashboard. If you are unable to get automatic updates from your dashboard, updates can be downloaded from your account page while your license is active.
5.3 Update Compatibility
While we strive to ensure updates are compatible with your environment, we recommend:
- Testing updates in a staging environment before applying to production sites
- Maintaining current backups before updating
- Keeping WordPress, PHP, and other plugins updated
We are not responsible for issues arising from outdated environments or conflicts with third-party software.
6. SUPPORT SERVICES
6.1 Availability
Support Services are available via email at [email protected] for all accounts with a current and active Subscription. If you wish to receive Support after one year, you must renew your Subscription or purchase a new license key or have a lifetime license.
Support is not available for accounts without an active Subscription.
6.2 Community Support
While the Software is GPL-licensed and may be available through various channels, official Support Services are only provided to customers with active Subscriptions purchased directly from WSC 8034 OPCO 1 LLC.
Community support may be available through WordPress.org forums or other community resources for versions obtained outside of our official channels, but WSC 8034 OPCO 1 LLC is not responsible for community-provided support.
6.3 Discontinued Products
If the Software or any extension is discontinued, WSC 8034 OPCO 1 LLC may, at its sole discretion, offer a replacement or other extension at no or reduced cost to purchasers of the discontinued extension. However, we undertake no obligation to extend support for discontinued extensions or to offer any replacement or refund.
6.4 Support Process
Support requests are handled on a first-come, first-serve basis. We will undertake Commercially Reasonable Efforts to resolve issues in a timely, courteous, and professional manner. Response times:
- Initial response: Within 2 Business Days
- Issue resolution: Varies based on complexity
However, we make no warranty of any kind with respect to the Software or with respect to whether the use of Support Services may resolve any particular issue.
6.5 Support Limitations
Support Services do not include:
- Custom development or modifications
- Troubleshooting third-party plugins or themes
- Server configuration or hosting issues
- Training on basic WordPress functionality
- Issues caused by modifications you or third parties have made to the Software
6.6 Warranty Disclaimer for Support
Support Services are provided as is and without any warranty including merchantability or fitness for a particular purpose. You use Support Services at your own risk. We are not responsible for any harm including data loss resulting from following support recommendations.
7. REFUNDS
7.1 General Refund Policy
We offer refunds within thirty (30) days of purchase under the following conditions:
- Licenses may be refunded if the Software fails to perform its core advertised functions and the issue cannot be resolved through Support Services
- Refunds require you to have contacted Support and allowed reasonable time (at least 48 Business Hours) for troubleshooting
- The Software must not have been materially modified by you or third parties in ways that cause the failure
7.2 Non-Refundable Items
Refunds are not available for:
- Purchases made more than 30 days ago
- Bundle purchases (individual components within bundles may be eligible at our discretion)
- Renewal charges (you must cancel before renewal to avoid charges)
- Lifetime licenses purchased more than 60 days ago
- Developer licenses purchased more than 30 days ago
- Licenses purchased at a discount of 50% or greater
- Accounts suspended for violation of this Agreement
- Third-party extensions (refer to their own refund policies)
7.3 Refund Process
To request a refund:
- Contact our support team with your order number
- Provide a description of the issue
- Demonstrate that you’ve worked with support to resolve the issue
- Allow us 5 Business Days to review your request
Approved refunds will be processed within 10 Business Days to the original payment method.
7.4 Consumer Rights
Nothing in this section limits any mandatory consumer protection rights you may have under applicable law, including rights to refunds for defective products or services not as described.
8. ACCOUNT SUSPENSION
8.1 Grounds for Suspension
WSC 8034 OPCO 1 LLC may suspend or terminate your account and Subscription under the following circumstances:
- Violation of this Agreement, including but not limited to unauthorized transfers, license key sharing, or fraudulent activity
- Chargebacks or payment disputes determined to be invalid or fraudulent
- Use of the Software for illegal purposes or in violation of applicable laws
- Abuse of Support Services, including harassment of staff or excessive demands beyond reasonable use
- Failure to maintain accurate billing information after receiving notice and reasonable opportunity to correct (minimum 14 days)
- Exceeding license limits without upgrading your Subscription
8.2 Suspension Process
Before suspending an account, we will:
- Provide written notice to your registered email address stating the reason for potential suspension
- Allow you seven (7) days to cure the violation, where curable
- Consider any reasonable explanation you provide
8.3 Emergency Suspension
We reserve the right to immediately suspend access without prior notice in cases of:
- Clear violation of law
- Security threats to our systems or other users
- Fraudulent payment activity
- License key abuse or unauthorized redistribution
In such cases, we will provide notice and explanation within 48 hours of suspension.
8.4 Effect of Suspension
Upon suspension:
- You will lose access to Support Services
- Automatic updates through our servers will cease
- Your license key will be deactivated
- Download access to official updates will be terminated
- Your GPL rights to use and modify the Software you have already received remain intact under GPL terms
- No refunds will be provided for suspended accounts, except where required by applicable law
8.5 Discontinuation of Services
We reserve the right to discontinue the Software or Support Services with ninety (90) days advance notice. In such cases, active subscriptions will receive a pro-rata refund for the unused portion of their subscription period.
9. WARRANTY AND LIABILITY
9.1 No Warranty
The Software is provided “as is” without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by applicable law.
9.2 Compatibility
We are not responsible for conflicts with third-party plugins, themes, or hosting environments not developed by us. We will make Commercially Reasonable Efforts through Support Services to help resolve compatibility issues, but cannot guarantee compatibility with all third-party software.
9.3 Data and Backups
You are solely responsible for:
- Maintaining backups of your website and data before installing or updating the Software
- Testing the Software in a non-production environment before deployment
- Any data loss that occurs during installation, use, or removal of the Software
We strongly recommend maintaining regular, automated backups of your website.
9.4 Limitation of Liability
To the maximum extent permitted by law:
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the amount you paid for your Subscription in the twelve (12) months preceding the claim
- We are not liable for loss of profits, revenue, data, or business opportunities
- We are not liable for damages arising from your inability to use the Software
9.5 Exceptions
Nothing in this section excludes or limits our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot be excluded or limited under applicable law
- Breach of consumer protection laws where liability cannot be limited
9.6 Consumer Rights Preserved
If you are a consumer, you may have statutory rights under local law that cannot be excluded or limited by this Agreement. Nothing in this section affects those rights. This Agreement shall be interpreted consistently with those rights, and if there is a conflict, your statutory rights prevail.
10. PRICING, BILLING, PRIVACY AND ANALYTICS
10.1 Pricing and Billing
We reserve the right to change pricing at any time for new purchases. Existing Subscriptions will renew at the rate in effect at the time of original purchase unless we provide 30 days advance notice of a pricing change.
We do not honor pricing errors caused by system or human mistakes. If a pricing error occurs, we will contact you to offer the option to pay the correct price or cancel your order with a full refund.
You must maintain accurate billing and contact information in your account. You can update this information at any time through your account dashboard. Failure to maintain accurate information may result in failed renewals or loss of service.
10.2 Privacy
We will never sell or share your personal information with third parties for marketing purposes. All data we collect is used for internal purposes only, such as:
- Account management
- License verification
- Support Services
- Product improvement
- Communication about your account and services

10.3 Analytics and Telemetry
To improve performance, stability, and overall reliability of Prevent Direct Access, the Software may collect technical data including:
Always Collected (Required for Core Functionality):
- Site URL (required for license activation and validation)
- Email address associated with your license (required for customer account identification)
- License key and activation status
- WordPress version and PHP version (for compatibility verification)
10.4 What We Don’t Collect
Analytics do not include:
- Passwords or authentication credentials
- Content of protected files or pages
- Visitor data or user information from your site (names, emails, IP addresses of your visitors)
- Form submissions or user interactions on your site
- Personal information about your website visitors
- File contents or database data
- Payment information (handled by our payment processors)
10.5 Opt-Out
You may disable optional analytics collection at any time.
Disabling optional analytics does not affect license validation, which requires the site URL, email address, and basic system information to function.
10.6 Data Security and Retention
Analytics data is:
- Encrypted during transmission using industry-standard protocols (TLS 1.2 or higher)
- Stored securely on WSC 8034 OPCO 1 LLC servers with access restricted to authorized personnel only
- Retained for up to two (2) years for diagnostic and improvement purposes
- Never sold, shared, or provided to third parties except as required by law or with your explicit consent
- Used exclusively for product diagnostics, support, and improvement
You may request deletion of your optional analytics data by contacting support. License validation data (site URL, email, license key) must be retained while your license is active but will be deleted upon account closure if requested.
11. DISPUTE RESOLUTION
11.1 Informal Resolution
Before initiating formal dispute resolution, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will respond within 10 Business Days and work in good faith to resolve the matter.
11.2 Arbitration
If informal resolution fails, disputes will be resolved through binding arbitration, except where prohibited by law.
For users located in Singapore: Arbitration shall be conducted in Singapore under the rules of the Singapore International Arbitration Centre (SIAC).
For users located elsewhere: You may elect arbitration in:
- Your country or state of residence, if local law requires this option, OR
- Singapore under SIAC rules, OR
- Through online arbitration services mutually agreed upon
11.3 Small Claims Court
Either party may pursue a claim in small claims court as an alternative to arbitration if the claim qualifies for that court’s jurisdiction.
11.4 Class Action Waiver
To the extent permitted by applicable law, you agree to resolve disputes on an individual basis and waive the right to participate in class actions or representative proceedings. This waiver does not apply where prohibited by law.
11.5 Costs
Each party bears its own costs in arbitration unless the arbitrator determines that one party’s claim or defense was frivolous or brought in bad faith, in which case the arbitrator may allocate costs accordingly.
If WSC 8034 OPCO 1 LLC prevails in arbitration or litigation and the arbitrator or court determines your claim was frivolous or in bad faith, you may be responsible for our reasonable arbitration costs, court fees, and legal expenses.
11.6 Jurisdiction-Specific Rights
Nothing in this section waives or limits any mandatory consumer rights you may have under:
- European Union consumer protection laws
- Australian Consumer Law
- UK Consumer Rights Act 2015
- California consumer protection statutes
- Other applicable local consumer protection laws
If you are located in a jurisdiction that requires local dispute resolution, those requirements supersede this section.
11.7 Limitation of Liability
Our total liability to you for any claims arising from this Agreement or your use of the Software shall not exceed the total amount you paid to WSC 8034 OPCO 1 LLC in the twelve (12) months preceding the claim.
This limitation does not apply to liability that cannot be excluded or limited under applicable law, including liability for:
- Fraud or fraudulent misrepresentation
- Death or personal injury caused by negligence
- Violations of consumer protection laws where liability cannot be limited
11.8 Exclusive Remedy
Your sole and exclusive remedy for any dispute with WSC 8034 OPCO 1 LLC is as set forth in this Agreement. In no event shall WSC 8034 OPCO 1 LLC be liable for any indirect, incidental, special, consequential, or punitive damages.
12. INTELLECTUAL PROPERTY
12.1 Ownership and GPL License
The Software is copyrighted by WSC 8034 OPCO 1 LLC and licensed under the GNU General Public License v3.0. While you receive broad usage rights under the GPL, WSC 8034 OPCO 1 LLC retains copyright ownership of the original work.
Your GPL rights include the freedom to use, study, modify, and distribute the Software as described in Section 3.
12.2 Subscription Services
Access to Subscription services (updates, support, license key management) is provided by WSC 8034 OPCO 1 LLC as a separate service and is not part of the GPL-licensed Software itself. These services are governed by this Agreement.
12.3 Attribution
You must preserve all copyright notices, attribution, and license information within the Software. You may not:
- Remove or alter any proprietary notices
- Misrepresent the origin of the Software
- Claim authorship of WSC 8034 OPCO 1 LLC’s work
12.4 Modifications
You may modify the Software under GPL terms. If you redistribute modified versions:
- You must comply with all GPL requirements (include source code, preserve license notices, etc.)
- You must clearly mark your modifications as your own work
- You must not misrepresent modified versions as official WSC 8034 OPCO 1 LLC releases
- Modified versions are not eligible for official support from WSC 8034 OPCO 1 LLC unless otherwise agreed
12.5 Redistribution
You may redistribute the Software under GPL terms. When redistributing:
- You must comply with all GPL requirements (include source code, license information, etc.)
- You must include all original copyright and license notices
- You should make clear that official updates and support are provided only by WSC 8034 OPCO 1 LLC to customers with active Subscriptions
- Recipients of redistributed versions do not automatically receive Subscription services (updates, support, license keys) from WSC 8034 OPCO 1 LLC
- You agree to indemnify and hold WSC 8034 OPCO 1 LLC harmless from any claims arising from your redistribution
12.6 Branding
You may not use WSC 8034 OPCO 1 LLC, Prevent Direct Access, or related branding, names, logos, or likenesses for:
- Marketing or publicity without express written permission
- Endorsement or sponsorship implications
- Creating derivative brands or confusingly similar names
You may reference that you use our Software in factual statements (e.g., “This site uses Prevent Direct Access”).
12.7 Indemnification
You agree to indemnify and hold harmless WSC 8034 OPCO 1 LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:
- Your use or misuse of the Software
- Your violation of this Agreement
- Your violation of any third-party rights
- Your modification or redistribution of the Software
13. FORCE MAJEURE AND END OF LIFE
13.1 Force Majeure
WSC 8034 OPCO 1 LLC shall not be liable for any failure or delay in performance due to an Event of Force Majeure. During such events, our obligations under this Agreement are suspended for the duration of the event.
If an Event of Force Majeure continues for more than thirty (30) days, either party may terminate the affected Subscription with a pro-rata refund for unused time.
13.2 End of Life
If the Software or its Dependencies are discontinued, become inoperable due to circumstances beyond our control, or we cease business operations:
- All Subscription service obligations under this Agreement terminate immediately
- You retain full GPL rights to use, modify, and distribute any Software you have already received
- No compensation or refund will be provided beyond any amount required by applicable law
- We will make Commercially Reasonable Efforts to provide thirty (30) days notice where possible
- The Software code you possess remains yours to use under GPL terms indefinitely
14. MODIFICATIONS TO AGREEMENT
14.1 Changes to Terms
We reserve the right to modify this Agreement from time to time. When we make changes, we will:
- Post the updated Agreement at preventdirectaccess.com/terms with a “Last Updated” date clearly displayed
- Notify you by email at your registered address at least thirty (30) days before Material Changes take effect
- Identify what has changed in the notification email
14.2 Acceptance of Changes
For new purchases: Updated terms apply immediately to all new Subscriptions purchased after the effective date.
For existing subscriptions:
- Non-material changes (typo corrections, clarifications, formatting, updated contact information) take effect thirty (30) days after posting
- Material Changes require your acceptance
- If you do not accept Material Changes, you may cancel your Subscription and request a pro-rata refund of the unused portion
- Continuing to use the Software and not canceling within the 30-day notice period constitutes acceptance of Material Changes
14.3 Definition of Material Changes
Material Changes include, but are not limited to:
- Changes to pricing or Renewal Rates for existing subscribers
- Reductions in support services or update availability
- Changes to refund policies that reduce your rights
- Changes to dispute resolution procedures
- New limitations on Software use or functionality
- Changes to data collection or privacy practices
- Changes to license scope or permitted usage
14.4 Right to Reject
If you do not agree to Material Changes, you must notify us in writing within the 30-day notice period at [email protected]. Upon notification:
- Your existing Subscription will continue under the prior terms until its natural expiration
- You will receive a pro-rata refund if you have more than 30 days remaining on your Subscription
- You may continue using the Software you have already downloaded under its original license terms

15. GENERAL PROVISIONS
15.1 Entire Agreement
This Agreement, together with our Privacy Policy and any other policies referenced herein, constitutes the entire agreement between you and WSC 8034 OPCO 1 LLC regarding the Software and supersedes all prior or contemporaneous agreements, communications, and understandings, whether written or oral.
15.2 Severability
If any provision of this Agreement is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent. If modification is not possible, the provision shall be severed from this Agreement.
The remainder of this Agreement shall remain in full force and effect. The unenforceability or invalidity of any provision shall not affect the validity or enforceability of any other provision.
15.3 Waiver
No waiver of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer this Agreement or any rights granted hereunder without our express written consent. Any attempted assignment in violation of this section is void.
We may assign this Agreement or any rights hereunder without your consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
15.5 Notices
All notices required under this Agreement shall be in writing and delivered to:

Notices are deemed received:
- Email: 24 hours after sending (unless delivery failure notification)
- Physical mail: 5 Business Days after posting
You are responsible for keeping your email address current in your account.
15.6 Relationship of Parties
Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between you and WSC 8034 OPCO 1 LLC. You have no authority to bind WSC 8034 OPCO 1 LLC in any way.
15.7 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions, except where mandatory consumer protection laws of your jurisdiction apply.
15.8 Language
This Agreement is executed in English. If this Agreement is translated into any other language, the English version shall prevail in case of any inconsistency or dispute over interpretation.
15.9 Survival
Sections that by their nature should survive termination of this Agreement shall survive, including but not limited to: Definitions, Intellectual Property, Warranty Disclaimers, Limitation of Liability, Dispute Resolution, and General Provisions.
15.10 Third-Party Beneficiaries
This Agreement is solely for the benefit of you and WSC 8034 OPCO 1 LLC and is not intended to confer any rights upon any third party.
15.11 Mutual Drafting
Both parties acknowledge they have had adequate opportunity to consult legal counsel before entering this Agreement. This Agreement shall be interpreted fairly and reasonably, and no provision shall be construed against either party solely based on authorship.
This is a standard form agreement offered to all customers on equal terms.

17. ACKNOWLEDGMENT
BY DOWNLOADING, INSTALLING, ACTIVATING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
IF YOU DO NOT AGREE TO THIS AGREEMENT, DO NOT USE THE SOFTWARE.
