LICENSE AGREEMENT / TERMS AND CONDITIONS OF USE
Please read this license agreement carefully, as it governs your relationship with WP FOLIO LLC. It sets forth important legal obligations between you and WP FOLIO LLC, and it defines the scope of what you can do if you have a disagreement with WP FOLIO LLC. We stand by our products. Password Protect WordPress, along with our other products, has been designed, developed, and tested in order to meet the personal and business demands of our clients, and we expect that it will perform to our clients’ expectations in most environments. However, because every client’s needs are different, we cannot and do not guarantee that Password Protect WordPress or our other products will work in every environment or be compatible with plug-ins, extensions, or themes not developed by us. If you find that Password Protect WordPress does not suit your needs, or if you are unsatisfied with it or any of our software, this agreement sets forth the extent and nature of your and our obligations with respect to troubleshooting, support, and refunds. For most users, problems can be resolved in less than a day through our support service.
1. DEFINITIONS
1.1. In this agreement WP FOLIO LLC may also be referred to as “we” or “us”.
1.2. “You” means you, along with your agents, employees, assigns, successors in interest, beneficiaries, and heirs.
1.3. Password Protect WordPress, along with any other product developed by WP FOLIO LLC, including but not limited to any plugin, add-on, or extension, may also be referred to as the “Software”.
1.4. “GPL” means the GNU General Public License (http://www.gnu.org/licenses/gpl-3.0.txt).
1.5. This agreement as a whole may be referred to as the “Agreement” or as the “Terms and Conditions”.
1.6. “Transfer” includes but is not limited to any instance in which a Software license is purchased for an end-user who is not the purchaser and for whom the purchaser does not provide ongoing support.
1.7. “Subscription” means a license purchased from WP FOLIO LLC, which includes a product license key and access to upgrades and support for the Software to which it applies.
1.8. “Renewal Rate” means the purchase price for the product, ordinarily as indicated by passwordprotectwp.com, on the date and time of renewal.
1.9. “Support” or “Support Services” means the actions of us through our staff, in communication with you, to troubleshoot issues you may experience when using the Software during the term of an active Subscription.
1.10. “Commercially Reasonable Efforts” means those efforts that a reasonable person would make under the circumstances, limited to practices and steps that are commercially acceptable and typical in the ordinary course of software development and support and further limited to steps which require a time commitment which is reasonable and commercially acceptable and typical in the ordinary course of software development and support.
1.11. “Dependency” means any software without which the Software cannot function and any developer or controller of such software.
1.12. “Event of Force Majeure” means any event beyond our control which prevents us from complying with our obligations under this Agreement, including but not limited to an act of God such as a natural disaster; the threat, declaration, or consequence of war; a riot, strike, or disorder (unless solely limited to our employees); or any act of terrorism.
2. Acceptance of Terms
By downloading or using the Software, you accept these Terms & Conditions. If you disagree, stop using the Software.
3. Licensing (GPL)
The Software is licensed under the GNU General Public License (GPL v3).
This Agreement adds conditions regarding Subscriptions, Support Services, Analytics, and Commercial Services, which are not covered by the GPL.
4. Subscriptions & Renewals
- A Subscription lasts 12 months from the purchase date.
- An active Subscription is required for:
- automatic updates
- support
- access to premium features
- Subscriptions renew automatically at the original purchase price or the current Renewal Rate unless you cancel beforehand.
- You may cancel anytime. Cancellation stops future renewals but does not refund past payments.
- You may not transfer your Subscription without our permission. Unauthorized transfer ends the Subscription immediately.
5. Software Updates
You will receive updates while your Subscription is active.
Updates are delivered automatically through your WordPress dashboard or may be downloaded from your customer account.
6. Support Services
- Support is available only for active Subscriptions.
- We use Commercially Reasonable Efforts to help resolve issues.
- We do not guarantee any particular outcome or compatibility with all themes, plugins, or hosting environments.
- Support is provided “as is,” without warranties.
- We are not liable for any damage, including data loss, that may occur during support interactions.
If a product is discontinued, we may (but are not required to) offer a replacement.
7. Refunds
- Refunds are issued at our sole discretion.
- Bundles, upgrades, and heavily discounted packages are not eligible for refunds.
- Refunds are not offered for:
- discontinued products
- accounts suspended for violation of this Agreement
- purchases older than the stated refund window (per our published Refund Policy)
Third-party extensions have their own refund policies.
8. Account Suspension
We reserve the right to suspend or terminate your Subscription for any reason, including misuse, fraud, or breach of this Agreement.
Suspended accounts are not eligible for refunds.
9. Warranty Disclaimer
The Software is provided “AS IS” and WITHOUT ANY WARRANTY.
We disclaim all warranties, including implied warranties of merchantability or fitness for a particular purpose.
You use the Software at your own risk.
We are not responsible for:
- plugin/theme conflicts
- server incompatibilities
- data loss
- downtime caused by third-party systems
10. Privacy & Analytics (Modern Compliance)
10.1. Personal Information
We do not sell or share your personal data. Information you provide (name, email, billing info) is used only to manage your account and deliver the Software.
10.2. Analytics & Telemetry
To improve performance, stability, and compatibility, the Software may collect anonymized technical data, such as:
- WordPress version
- PHP version
- plugin/theme conflicts
- feature usage
- error logs
- the site URL (required for license activation and domain validation)
- the email address associated with the PPWP license (required for customer account identification)
Aside from the site URL and license email, analytics data does not include website content, passwords, form entries, visitor data, protected page content, or any data belonging to your end-users.
No protected content or sensitive information is ever collected.
10.3. Opt-Out
You may turn off analytics at any time via plugin settings.
10.4. Data Security
Analytics data is stored securely on WP FOLIO LLC servers.
11. Pricing & Billing
We may change prices at any time.
We do not honor pricing errors displayed accidentally.
You are responsible for keeping your contact and billing information accurate.
We may terminate your Subscription without refund if you provide fraudulent or false information.
12. Dispute Resolution
- All disputes must be resolved through binding arbitration in Singapore before any legal action.
- If court action is required, the courts of Singapore have exclusive jurisdiction.
- You waive your right to participate in class action lawsuits.
- If WP FOLIO LLC prevails, you agree to pay our legal fees and arbitration costs.
- Your sole remedy in any dispute is a refund of your purchase. Our maximum liability is the total amount you paid us.

13. Intellectual Property
- You must retain all copyright and trademark notices when redistributing GPL code.
- You may not use our name, brand, or staff likenesses for endorsement or promotional purposes without permission.
- Modified versions must be clearly marked as modified.
- If you redistribute the Software (modified or not), you agree to indemnify and hold us harmless from any resulting damages or claims.
14. Force Majeure & Discontinuation
We are not liable for failure to perform due to circumstances beyond our control.
If the Software, WordPress, or critical dependencies are discontinued, all obligations under this Agreement terminate immediately.
No compensation or refund will be provided in such cases.
15. Entire Agreement
This Agreement represents the full understanding between you and WP FOLIO LLC.
We may update these Terms at any time. Continued use of the Software after changes means you accept the updated Terms.
