A. Investissement de base et documents

 Investissement de base : 5,000,000 (cinq millions ) USD

Cette somme consiste à :
1. L’obtention des documents de l’unité de traitement : 400,000 (quatre cent mille)
USD dont 200,000 (deux cent mille) USD est payé au guichet du trésor publique,
140,000 (cent quarante mille) USD pour les documents des études de préfaisabilités
(EIE, PAR, préfaisabilité et 60,000 (soixante mille) USD pour les frais administratifs
et autres dépenses (transport, logement, consultances etc.)
 Base investment : 5,000,000 (five million) USD
This sum consists of :
1. Obtaining the documents from the processing unit : 400,000 (four hundred
thousand) USD of which 200,000 (two hundred thousand) USD is paid at the public
treasury counter, 140,000 (one hundred and forty thousand) USD for the documents
of the studies of pre-feasibility (EIA, PAR, pre-feasibility and 60,000 (sixty
thousand) USD for administrative costs and other expenses (transport,

Ants Minerals Ressources s’engage à :

Ants Minerals Resources is committed to :
 Accompagner le financier de ces projets dans la démarche documentaire, l’expertise
géologique, la production, le contrôle de la qualité des produits et l’achat des
substances minérales en vue de produire des cathodes de cuivre dans le bénéfice du
financier ;
 Support the financier of these projects in the documentary process, geological
expertise, production, product quality control and the purchase of mineral substances
in order to produce copper cathodes for the benefit of the financier ;
 Trouver des solutions adéquates dans l’exploration et l’exploitation des minerais de
cuivre afin de perpétuer le projet tant que le financement et équipements nécessaires

Article 4 : Entrée en vigueur et Expiration

l’incapacité de continuer dans ces projets. Ceci peut être dû au :

la production qui sans cela, bloquerait le déroulement du processus de production.
 Lack of funding for projects at the start or during the execution of these projects: here

 Incapacité au financé de produire la quantité nécessaire par manque de compétence ou du

quantité des substances minerales et mis sur écrit par un avenant d’un commun accord.

Article 5. DU NON-CONTOURNEMENT

Chaque PARTIE s’engage à éviter toute manœuvre qui aurait pour but, soit directement, soit indirectement,
de priver l’autre PARTIE de droits, honoraires, bénéfices qui pourraient lui être dus dans le cadre de
l'exécution des présentes. Chaque PARTIE s'engage, notamment, sous peine de sa mise en cause pour abus
de confiance, à ne pas tenter de contourner l’autre partie ni d'utiliser les renseignements confidentiels,
comme définis dans cet accords pour chercher à tirer parti par quelque moyen que ce soit d’une information
communiquée, comme par exemple s’approprier seul ou avec des tiers de tout ou partie des stratégies,
rapports, études et renseignements techniques, idées énoncées ou encore contacter directement, sans accord
préalable, un contact de l’autre PARTIE. Chacune des PARTIES accepte et comprend que toute action
ouverte ou cachée de contournement vis-à-vis de l’autre PARTIE, directement ou indirectement,
individuellement ou par action comprenant des intervenants tiers, constitue une violation de propriété, de
confiance et de légalité grave. En cas de contournement, la PARTIE contrevenante indemnisera l’autre
PARTIE de toutes les commissions, honoraires ou argent obtenus en contrevenant à la CONVENTION.
Toutes les dépenses, les coûts et frais juridiques engagés pour recouvrer les recettes perdues seront à la
charge du contrevenant. La PARTIE contournée pourra demander en outre une sanction pécuniaire d'égalité
juridique maximale.

Each PARTY undertakes to avoid any maneuver which would aim, either directly or indirectly, to
deprive the other PARTY of rights, fees, benefits that may be due to it in the context of the execution

de Recherche (PR), Permis d’Exploitation (ZEA) et Zones d’Exploitation Artisanale (ZEA) contenant
d’indices ou minéralisations en cassitérite coltan et Or au Financier (…………………………………..)
ainsi que des contacts de ces concessionnaires. Les informations confidentielles incluront toutes les
coordonnées, documents, cartes, photos, spécifications, manuels, projets d'entreprise, informations
financières et autres informations divulguées ou utiliser sans accord préalable de Ants Minerals Ressources,
oralement, par écrit, ou par tout autre moyen, au Financier
[…………………………………………………..]. Les informations confidentielles divulguées oralement

seront considérées comme telles dans les cinq (5) ans suivant leur divulgation. Rien n’obligera par le
présent contrat le Propriétaire fournir ces informations.
Ants Minerals Resources offers to provide confidential information on free zones,
Exploration Permits (PR), Exploitation Permits (ZEA) and Artisanal Exploitation Zones

Confidential information will include all contact details, documents, maps, photos,
specifications, manuals, business plans, financial information and other information disclosed
or used without the prior consent of Ants Minerals Resources, orally, in writing, or by any

Confidential information disclosed orally will be considered as such within five (5) years of
its disclosure. Nothing in this contract will oblige the Owner to provide this information.

Les informations confidentielles n'incluent pas les informations pour lesquelles le Bénéficiaire peut
démontrer: (a) qu’il les avait en sa possession ou les connaissait avant qu’elles ne lui soient fournies
conformément au présent contrat et, à condition que le Bénéficiaire ignorait que la source de cette
information faisait l’objet d’un contrat de confidentialité avec ou d’une obligation confidentialité au profit
du Propriétaire; (b) qu’elles sont généralement connues dans le monde des affaires ou du public; (c)
qu’elles ont été obtenues à juste titre par le Bénéficiaire auprès d'un tiers, sans aucune violation des droits
du Propriétaire; ou (d) qu’elles sont développées indépendamment par le Bénéficiaire sans usage ni
référence aux informations confidentielles.

Confidential information does not include information for which the Beneficiary can
demonstrate: (a) that he had it in his possession or was aware of it before it was provided to
him in accordance with this contract and, provided that the Beneficiary was unaware that the
source of this information was the subject of a confidentiality contract with or of a
confidentiality obligation for the benefit of the Owner; (b) they are generally known to the
business community or to the public; (c) they have been properly obtained by the Beneficiary
from a third party, without any violation of the rights of the Owner; or (d) they are developed
independently by the Recipient without use or reference to confidential information.

Article 8. LES OBLIGATIONS DU BÉNÉFICIAIRE

comme étant confidentielles et appartenant uniquement au Propriétaire. Le Bénéficiaire
conversera précieusement ces informations et ne les utilisera à aucune fin autre que sa relation
d’affaires avec le Propriétaire. Le Bénéficiaire ne divulguera ces informations qu’aux membres
de l’équipe de direction et aux employés devant absolument être informés aux fins de la relation
d’affaires. Sans l’autorisation écrite spécifique et préalable du propriétaire, le Bénéficiaire ne
divulguera pas, ne publiera pas ni ne révélera d’aucune manière les informations confidentielles
reçues du Propriétaire à un tiers.

copies, reproductions ou autres véhicules d’information contenant de telles informations
confidentielles, et ce, au plus tard [NOMBRE] jours suite à la demande. À la discrétion du
Bénéficiaire, tout document ou autre véhicule d’information et contenant des informations
confidentielles peut être détruit par le Bénéficiaire. Le Bénéficiaire fournira un certificat écrit au
Propriétaire attestant de la destruction des informations confidentielles dans les [NOMBRE] jours
après la réception de la demande.

b. Confidential information provided in tangible form will not be duplicated by the Beneficiary,
except for purposes related to this contract. At the Owner's request, the Beneficiary will
provide him with any confidential information received in written or tangible form, including
copies, reproductions or other information vehicles containing such confidential information,
no later than [NUMBER] days following the request. At the Beneficiary's discretion, any
document or other information vehicle containing confidential information may be destroyed

financières ou juridiques subies par le Propriétaire suite à une violation du présent contrat par le
Bénéficiaire ou ses représentants.

sont dûment informés de la nature confidentielle desdites informations et au reste, des termes du présent

The Beneficiary may disclose certain confidential information of the Owner to its responsible
representatives, but only to the extent necessary to assess or perform a task provided for in the
context of the business relationship with the Owner (visits or research); and only if these
representatives are duly informed of the confidential nature of such information and the rest,
of the terms of this contract. These representatives will be bound by a written agreement to

d’évaluer la possibilité d’une découverte du gisement et ne devront utiliser en aucune façon les
informations confidentielles au détriment du Propriétaire.

droit quelconque les informations confidentielles. Il est compris et consenti qu'aucun changement sur la
confidentialité ou l’application ne pourra se faire même après rupture de ce contact au cas où le bénéficiaire
ne serait plus intéressé. Dans ce cas, il n’aura plus droit de divulguer ou d’appliquer dans cette zone une
quelconque demande de transformation pour lui-même pour un de ces partenaires et que la révélation
d'informations confidentielles sera interprétée comme la preuve manifeste de l’intention d’une partie de
contourner le propriétaire.

Nothing in this contract shall be construed as granting or licensing any right in confidential
information. It is understood and agreed that no change in confidentiality or application can
be made even after breaking this contact in the event that the beneficiary is no longer

Article 14. RESTITUTION DES DOCUMENTS

Si le Bénéficiaire ne poursuit pas la relation éventuelle de travail avec le Propriétaire, le Bénéficiaire
notifiera au Propriétaire cette décision et devra, en ce temps ou n'importe quand sur la demande du
Propriétaire pour toute autre raison, restituer immédiatement au Propriétaire tous les registres, notes, et
autres matériels tangibles écrits, imprimés ou autres dont il a possession et qui se rapportent aux
informations confidentielles sur la demande écrite de Propriétaire. La restitution des matériels n’empêchera
pas le bénéficiaire de se conformer aux autres conditions contractuelles du présent contrat.
If the Beneficiary does not continue the possible working relationship with the Owner, the
Beneficiary will notify the Owner of this decision and shall, at that time or any time at the
Owner's request for any other reason, immediately return to the Owner all records, notes, and
other tangible written, printed or other material in its possession that relates to confidential
information at the written request of Owner. The return of the materials will not prevent the
beneficiary from complying with the other contractual conditions of this contract.

Ni la tenue de discussions, ni l'échange de matériels ou d’informations n’obligera le Propriétaire à conclure
un contrat avec le Bénéficiaire ou n’empêchera le Propriétaire de fournir la même ou semblable
information à des tiers et de signer des contrats avec ces tiers. Le Propriétaire se réserve le droit, à sa seule
discrétion, de rejeter toute proposition faite par le Bénéficiaire ou ses représentants concernant une relation
d’affaires entre le Bénéficiaire et le Propriétaire et de mettre fin aux discussions et négociations avec le
Bénéficiaire à tout moment. Tout autre contrat entre les parties, s’il y en a sera écrit et signé par les deux
parties.
Neither the holding of discussions, nor the exchange of materials or information will oblige
the Owner to enter into a contract with the Recipient or prevent the Owner from providing the
same or similar information to third parties and from signing contracts with these third parties.
The Owner reserves the right, at its sole discretion, to reject any proposal made by the

Dans la mesure du possible, les dispositions du présent contrat seront interprétées pour en favoriser
l’application. Si une disposition du présent contrat était invalidée par un tribunal compétent, il est de
l’intention des parties que les autres dispositions du contrat demeurent applicables. Au cas où un tribunal
compétent prononçait la non-applicabilité ou la nullité d’une ou de plusieurs dispositions du contrat, il est
de l’intention des parties que le tribunal les interprète de la façon la plus compatible avec l’intention
originale des parties.

As far as possible, the provisions of this contract will be interpreted to promote its application.
If any provision of this contract is invalidated by a competent court, it is the intention of the
parties that the other provisions of the contract remain applicable. In the event that a
competent court rules the non-applicability or invalidity of one or more provisions of the
contract, it is the intention of the parties that the court interprets them in the manner most
compatible with the original intention of the parties.

This contract as well as any other contract, agreement, understanding and appendices (maps
and contact details) to which it refers constitutes the final, complete and inclusive expression
of the terms of the contract between the parties with regard to the subject of this contract. This
contract supersedes any current or previous contract, agreement, understanding and appendix
to which it does not explicitly refer. No party has entered into this contract based on any other
contract, agreement, understanding, promise, commitment or guarantee other than those
expressly incorporated, described by this contract.
