CLAUSULA PRIMERA: ANTECEDENTES
La FACULTAD/UNMSM …………….. es un centro de educación superior integrada por
profesores, estudiantes y graduados dedicados al estudio, investigación y la enseñanza,
así como a la difusión, extensión y proyección social del saber y la cultura a la comunidad
nacional

CLAUSULA SEGUNDA: OBJETO
Desarrollar actividades académicas en las áreas de interés común, con la finalidad de
brindar programas de ...(académicos, culturales, asesorías, de servicios, etc.)...
Tanto la FACULTAD/UNMSM como ......XXXXXX...... , para el cumplimiento de sus
objetivos, cuentan con infraestructura, organización, docentes calificados, promotores,
material educativo, equipamiento y todos los elementos indispensables para asegurar el
éxito del convenio. En conjunto ambas entidades lograrán potenciar al máximo la

capacidad instalada para atender las necesidades educativas en el ámbito Nacional e
Internacional.
CLAUSULA TERCERA: PLAN DE TRABAJO
LA FACULTAD/UNMSM y .. LA FACULTAD/XXXXXX.. .......... elaborarán un plan de
trabajo donde se detallarán las actividades... (académicas, de asesoría, cultural, de
servicio, etc.) .... a desarrollarse, en el cual deberán señalarse los responsables, el
calendario de actividades, las fuentes de financiamiento, relación de cursos, la plana
docente, las condiciones económicas; entre otras.
CLAUSULA CUARTA: COMITÉ DE COORDINACION
Las partes acuerdan designar a un representante para integrar el Comité de Coordinación
que se encargará de la ejecución del presente convenio:

CLAUSULA QUINTA: COMPROMISOS DE AMBAS PARTES
Coordinar el desarrollo de las actividades acordadas en el convenio
Participar en la elaboración del Plan de Trabajo y su aprobación.
Proporcionar el Plan de Estudios que se desarrollará.
Proporcionar la plana docente del más alto nivel para del dictado y desarrollo de
cursos.
Suministrar los diplomas y certificados por los estudios realizados, previa
aprobación de los planes de estudios proporcionado por la universidad.
Autorizar el uso del logotipo Institucional en los materiales de difusión, educativos
y de certificación, que solo se relacionen con este convenio.
Supervisar y evaluar permanentemente la ejecución de los Planes de Trabajo con
el propósito de mejorar e identificar nuevos Programas y cursos en el marco del
Convenio.
CLAUSULA SEXTA: PLAZO Y RESOLUCION
El presente Convenio tendrá vigencia de dos (2) años calendario a partir de su
suscripción, pudiendo ser renovado, modificado y/o ampliado por común acuerdo escrito
entre ambas partes.
En caso de incumplimiento, cualquiera de las partes podrá solicitar la rescisión del
convenio con una anticipación de noventa días útiles. Sin embargo, el margen de la causa
que motive el término del convenio no afectará la continuidad de las actividades
emprendidas que deberá proseguir hasta su culminación.

CLAUSULA SEPTIMA DISPOSICIONES FINALES
Ambas entidades en forma conjunta y trimestralmente revisarán los alcances del presente
Convenio y, de ser el caso, efectuarán las precisiones, recomendaciones y/o
modificaciones que consideren convenientes.
Cualquier asunto no previsto expresamente en el presente Convenio y/o cualquier
controversia en su aplicación o interpretación, buscará ser solucionado por el
entendimiento directo en base a las reglas de la buena fe y común intención de las partes,
procurando para el efecto la máxima colaboración para la solución de las diferencias.
Toda comunicación que deba ser cursada entre las partes, se entenderá válidamente
realizada en los domicilios legales consignados en la parte introductoria del presente
Convenio.
Toda modificación de los términos u obligaciones contenidas en el presente Convenio
deberá ser realizada por escrito y por el mismo nivel de aprobación.
Las partes se encuentran conforme el contenido y los alcances del presente Convenio, en
fe de lo cual proceden a la firma en dos (02) originales, en la ciudad de Lima, con fecha

THIRD CLAUSE: WORK PROGRAM
The FACULTY/UNMSM and the FACULTY/XXXXXX…. will elaborate a work program
detailing the activities… (Academic, cultural, service, etc) and responsables, schedule,
source of financing, teaching staff, economic conditions; among others.
FOURTH CLAUSE: COORDINATION COMMITTEE
Both parties will appoint a faculty coordinator represent to the Coordination Committee that
will carry out the implementation of the agreement:

FIFTH CLAUSE: COMMITMENTS OF BOTH PARTIES
• To coordinate the development of the activities agreed in the agreement.
• To participate in the development of the work plan and approval.
• To provide the Syllabus to be developed.
• To provide faculty at the highest level for dictation and development courses.
• To provide diplomas and certificates for studies prior approval of the curriculum
provided by the university.
• To authorize the use of the Institutional logo on promotional materials, educational
and certification, which only relate to this agreement.
• Monitoring and permanently evaluating the implementation of the work program in
order to improve and identify new programs and courses under the Convention.
SIXTH CLAUSE: DURATION AND RESOLUTION
This Agreement shall become effective upon its signing by both parties for a period of two
(2) years and will be renewable, modified by mutual written agreement between both
parties.
In case of non-compliance, either party may request termination of the agreement with an
anticipation of ninety (90) working days. However, regardless of the cause that motivates
the term of the agreement will not affect the continuity of the activities undertaken that
should continue to termination.
SEVENTH CLAUSE: FINAL DISPOSITIONS
Both entities will review, every three months, the developing of the agreement and if
necessary, make the clarifications, recommendations and / or modifications that would be
needed.

Any matters not expressly provided in this Agreement and / or any dispute in its application
or interpretation, seek to be solved by direct negotiations based on the rules of good faith
and common intention of the parties.
All communications should be exchanged among the parties, shall be considered validly
made in the legal addresses entered in the introductory part of this Agreement.
Any change in the terms or obligations under this Convention shall be made in writing and
the same level of approval.
