Terms of Service
Welcome to Defined Learning. These Master Terms of Service ("Terms") govern your access to and use of our Software-as-a-Service (SaaS) platform, including our website, mobile applications, and career-connected learning content (collectively, the "Service").
By accessing or using the Service, you (the "Subscriber," "District," or "User") agree to be bound by these Terms. If you are entering into these Terms on behalf of a school, district, or educational institution, you represent that you have the authority to bind that entity to these provisions.
1. Service Access and Administration
1.1 SaaS Subscription
The Service is provided as a subscription-based platform. Defined Learning grants you a non-exclusive, non-transferable right to access the Service for non-commercial, educational purposes within the scope of your specific license.
1.2 Identity and Security
Subscribers are responsible for maintaining the confidentiality of all login credentials.
Modern Security Standards: We support and strongly encourage the use of Single Sign-On (SSO) and Multi-Factor Authentication (MFA) to meet current cyber insurance and IT audit requirements.
Authorized Use: You are responsible for all activity occurring under your account. You must notify us immediately of any unauthorized use or security breach.
2. INTELLECTUAL PROPERTY & CONTENT USE
2.1 Ownership
The Service, including all text, imagery, video, audio, and underlying software code (the "Material"), is owned or licensed by Defined Learning and protected by worldwide copyright and intellectual property laws. No ownership interest is transferred to the Subscriber.
2.2 PERMITTED USAGE
Educational Use: Subscribers may use, display, and perform the Material solely for classroom or district-level instruction.
Downloadable Content: You may download copies of designated "Downloadable" materials for individual convenience during the term of your subscription.
Prohibitions: You may not (i) systematically scrape or download the Material; (ii) create independent distribution libraries; or (iii) sell, rent, or transfer the Material to any third party outside your district.
3. ACCEPTABLE USE POLICY
To maintain a secure and effective learning environment, you agree not to:
- Use the Service for any unlawful, defamatory, or harassing purposes.
- Circumvent security measures or attempt to reverse-engineer any portion of the platform.
- Use automated systems (robots, spiders, or "page-scrapes") to monitor or copy content without express written permission.
- Upload any submission that contains software viruses or malicious code.
4. ARTIFICIAL INTELLIGENCE & DATA ETHICS
4.1 AI Governance
Defined Learning may utilize AI-enhanced features to improve learning outcomes and administrative efficiency. All AI features are designed to be "human-in-the-loop," ensuring educator control remains central to the experience.
4.2 Data for Model Training
Defined Learning does not use Student Data to train third-party AI models. We may use de-identified, aggregated data to improve our internal Service algorithms, ensuring no personally identifiable information (PII) is ever exposed or used in this process.
5. STUDENT DATA & PRIVACY
5.1 Privacy Policy Incorporation
Your use of the Service is also governed by our Privacy Policy, which can be found at definedlearning.com/privacy. These two documents are intended to work in tandem but remain distinct modules.
5.2 FERPA Compliance
To the extent that we collect "Student Data" from educational records, Defined Learning acts as a "School Official" with a legitimate educational interest under FERPA (34 CFR Part 99.31). The Educational Institution remains the owner and controller of all Student Data.
6. SERVICE LEVELS & SUPPORT
- Uptime Goal: 99.9% availability during standard school hours.
- Maintenance: Scheduled windows will be communicated 48 hours in advance.
- Data Recovery: Commercially reasonable administrative and technical safeguards for data integrity.
7. TERMINAL & RENEWAL
7.1 Term
The initial term and any subsequent renewals are defined in your Purchase Order or Service Agreement.
7.2 Termination for Cause
Either party may terminate this agreement if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of written notice.
7.3 Data Deletion
Upon expiration or termination, Subscribers must cease use of the Material. Upon written request, Defined Learning will delete or de-identify Student Data within thirty (30) days, subject to legal and backup retention requirements.
8. DISCLAIMERS & LIABILITY
8.1 "As Is" Basis
The Service is provided "As Available" and "As Is." While we strive for accuracy, Defined Learning does not warrant that the functions will be uninterrupted or error-free.
8.2 Limitation of Liability
Under no circumstances shall Defined Learning's total liability exceed the amount paid by the Subscriber for the Service in the twelve (12) months preceding the claim.
9. GOVERNING LAW
These Terms are governed by the laws of the State of Illinois. Any disputes shall be resolved in the courts located in or serving Cook County, IL.
