Composify Cloud Terms of Service

Welcome to Composify Cloud. These Terms of Service ("Terms") are a binding agreement between you and Hills Inc. ("Company," "we," or "us"). These Terms govern your access to and use of the Composify Cloud website, APIs, and related services (collectively, the "Services").
By using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization or other legal entity ("Organization"), you represent and warrant that you have the authority to bind that Organization to these Terms. In that case, "you" and "your" will refer to that Organization.

1. Changes to Terms or Services

We may modify these Terms at any time in our sole discretion. If we do so, we will notify you by posting the modified Terms on our website or through other communications. Your continued use of the Services after a modification constitutes your agreement to the modified Terms. We may also change or discontinue all or any part of the Services at any time without notice.

2. Your Account

To use the Services, you must create an account ("Account"). You agree to provide and maintain accurate, current, and complete information for your Account. You are responsible for all activities that occur under your Account and for safeguarding your password. You must notify us immediately of any unauthorized use of your Account.

3. Plans, Fees, and Payment

Subscriptions. The Services are offered on a subscription basis. By purchasing a subscription, you agree to pay the applicable fees ("Subscription Fees").

Billing and Renewal. Our Services are billed on a recurring basis ("Billing Cycle"), and your subscription will automatically renew at the end of each Billing Cycle unless you cancel it. Your subscription includes a fixed "Base Fee," which is billed in advance at the start of each Billing Cycle, and may also include variable "Usage Fees" based on your consumption, such as per-seat or page usage. Any Usage Fees incurred during a Billing Cycle are billed in arrears and will be included on the invoice for the following Billing Cycle, alongside the Base Fee for that new cycle. By providing your payment information, you authorize us to automatically charge the applicable fees for each new term, which will consist of the Base Fee for the new Billing Cycle plus any outstanding Usage Fees from the previous Billing Cycle.

Fee Changes. We may modify the Subscription Fees at any time, in our sole discretion. Any fee change will become effective at the end of the then-current Billing Cycle. Your continued use of the Services after the fee change constitutes your agreement to the new fee.

Payment. You must provide us with accurate and complete billing information, including a valid payment method. By submitting such information, you authorize us to charge all Subscription Fees incurred through your account to your payment method. All payments are due within thirty (30) days of the invoice date unless otherwise specified.

Taxes. Our fees are exclusive of all taxes, levies, or duties imposed by taxing authorities ("Taxes"). You are responsible for payment of all such Taxes.

No Refunds. Subscription Fees are non-refundable, except as required by law or as otherwise explicitly stated in these Terms.

4. User Content

Ownership. "User Content" means any text, graphics, designs, projects, components, or other materials you provide to be made available through the Services. As between you and us, you own your User Content.

License Grant to Hills Inc. By making any User Content available through the Services, you grant to us a non-exclusive, worldwide, royalty-free license to use, host, copy, process, display, and distribute your User Content solely as necessary to operate and provide the Services to you and your authorized users.

Your Responsibility. You are solely responsible for all your User Content. You represent and warrant that you own your User Content or have all necessary rights to grant us the license rights in your User Content under these Terms. You also represent that your User Content will not infringe, misappropriate, or violate a third party's intellectual property rights or violate any applicable law or regulation.

5. Acceptable Use Policy

You agree not to do, or encourage others to do, any of the following:

- Post, upload, or transmit any User Content that is unlawful, harmful, fraudulent, defamatory, obscene, or infringes on any third party's intellectual property or privacy rights.
- Use the Services for any illegal or fraudulent activity.
- Sell, resell, rent, or lease the Services.
- Attempt to probe, scan, or test the vulnerability of any Hills Inc. system or network or breach any security measures.
- Reverse engineer, decompile, or disassemble any aspect of the Services to derive its source code.
- Interfere with, or attempt to interfere with, the access of any user, host, or network, including sending a virus, overloading, or spamming the Services.
- Use the Services to build a competitive product or service.
- Violate any applicable law or regulation.

We have the right to investigate violations of these Terms and may suspend or terminate your account for such violations.

6. Service Changes and Availability

We will use commercially reasonable efforts to make the Services available. However, the Services may be interrupted for scheduled maintenance, upgrades, or emergency repairs. We may modify, add, or remove features at our sole discretion. For any material changes that would negatively impact your use of the core functionality ("Breaking Changes"), we will provide at least 30 days' prior notice where feasible.

7. Intellectual Property Rights

Our IP. Hills Inc. and its licensors exclusively own all right, title, and interest in and to the Services and all underlying software, technology, and documentation, including all associated intellectual property rights. You agree not to remove, alter, or obscure any copyright, trademark, or other proprietary rights notices.

Feedback. We welcome your feedback and suggestions ("Feedback"). By submitting Feedback, you grant us an irrevocable, perpetual, royalty-free, worldwide license to use, modify, and incorporate such Feedback into our products and services without any obligation or compensation to you.

8. Third-Party Services

The Services may contain links to or integrate with third-party websites, applications, or resources ("Third-Party Services"). We provide these links and integrations only as a convenience and are not responsible for the content, products, or services on or available from them. You acknowledge sole responsibility for and assume all risk arising from your use of any Third-Party Services.

9. Confidentiality

"Confidential Information" means any non-public information disclosed by one party to the other that is marked as confidential or would reasonably be understood to be confidential. Each party agrees to use the other's Confidential Information solely to perform its obligations under these Terms and will not disclose it to any third party without prior written consent. Each party will protect the other's Confidential Information with at least the same degree of care it uses for its own confidential information.

10. Copyright Policy

We respect copyright law and expect its users to do the same. It is our policy to terminate, in appropriate circumstances, the accounts of users who repeatedly infringe the rights of copyright holders.

11. Termination

You may cancel your Account at any time by sending a request to [email protected]. We may terminate or suspend your access to the Services, at our sole discretion, if you breach these Terms. Upon termination, your right to use the Services will immediately cease. We will make reasonable efforts to store your User Content for up to 90 days after termination, after which it may be permanently deleted. Sections related to Fees, User Content, Intellectual Property, Confidentiality, Indemnification, Disclaimers, Limitation of Liability, and General Terms shall survive termination.

12. Indemnification

You will indemnify and hold harmless Hills Inc. and its officers, directors, employees, and agents from any claims, disputes, damages, losses, and costs (including reasonable legal fees) arising out of or in any way connected with (i) your access to or use of the Services; (ii) your User Content; or (iii) your violation of these Terms.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND. WE EXPLICITLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

14. Limitation of Liability

NEITHER HILLS INC. NOR ANY OTHER PARTY INVOLVED IN CREATING OR DELIVERING THE SERVICES WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES. IN NO EVENT WILL HILLS INC.'S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO HILLS INC. FOR USE OF THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

15. Publicity

You grant us the right to use your company's name and logo as a reference for marketing and promotional purposes on our website and in other public or private communications. If you do not wish to be used as a reference, you may send an email to [email protected] to opt out.

16. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Republic of Korea, without regard to its conflict of law provisions. Any dispute arising from these Terms will be resolved exclusively in the courts located in Seoul, Republic of Korea.

17. General Terms

Entire Agreement. These Terms constitute the entire and exclusive agreement between Hills Inc. and you regarding the Services, and supersede all prior agreements.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may freely assign or transfer these Terms without restriction.

Notices. Any notices we provide under these Terms may be given by posting to the Services or by sending an email to the address associated with your Account.

Waiver and Severability. Our failure to enforce any right or provision will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions will remain in full force.

Force Majeure. Hills Inc. will not be liable for any failure or delay in performance due to causes beyond its reasonable control, such as acts of God, war, terrorism, civil disturbances, or cyber-attacks.
